Carrying Costs. For each Construction Period certain charges (“Carrying Costs”) will accrue and be added to the Outstanding Construction Allowance on the last day of such Construction Period (i.e., generally on the Advance Date upon which such Construction Period ends). If, however, for any reason the Lease Balance (and thus the Outstanding Construction Allowance included as a component thereof) must be determined as of any date between Advance Dates, the Outstanding Construction Allowance determined on such date will include not only Carrying Costs added on or before the immediately preceding Advance Date computed as described below, but also Carrying Costs accruing on and after such preceding Advance Date to but not including the date in question. Carrying Costs accruing for any Construction Period will be equal to: • the amount equal on the first day of such Construction Period to the Lease Balance, times • the sum of the Effective Rate and the Spread for such Construction Period, times • a fraction, the numerator of which is the number of days in such Construction Period and the denominator of which is three hundred sixty.

Carrying Costs. Borrower shall have paid all Carrying Costs relating to the Property then due and payable including without limitation, (a) accrued but unpaid Insurance Premiums due pursuant to the Policies, (b) currently due Taxes (including any in arrears) relating to the Property, and (c) currently due Other Charges relating to the Property, which amounts shall be funded with proceeds of the Loan.
Carrying Costs. As compensation for each Lock-Up Option, Tenant shall -------------- pay or reimburse to Landlord all Carrying Costs incurred by Landlord during or with respect to the applicable Lock-Up Period, including (i) interest expense on Landlord's construction financing for any site work, off-site improvements or other construction (including, but not limited to, construction of the Expansion Building, if any) on the Phase II Site, (ii) interest expense on Landlord's acquisition financing or refinancing for the Phase II Site, and (iii) real property taxes, assessments and insurance on or allocable to the Expansion Building and/or the Phase II Site; provided, however, -------- that Tenant shall not be obligated to pay Landlord an amount greater than one hundred fifty thousand dollars ($150,000) for Carrying Costs incurred during or with respect to any single Lock-Up Period. Tenant shall pay Landlord's estimated Carrying Costs for each applicable Lock-Up Period in advance as contemplated in Section 6.2 hereof. Within ten (10) days after the end of each Lock-Up Period, Landlord shall notify Tenant in writing of Landlord's actual Carrying Costs for such Lock-Up Period and within ten (10) days after such notice either (i) Tenant shall pay Landlord the amount by which such actual Carrying Costs exceeded the estimated Carrying Costs paid by Tenant for such period, up to the $150,000 maximum set forth in this Section 6.3, or (ii) Landlord shall pay Tenant the amount by which the estimated Carrying Costs paid by Tenant exceeded the actual Carrying Costs for such period. If taxes or other Carrying Costs allocable to any Lock-Up Period are increased or decreased (for example, by a tax reduction or additional tax assessment) following completion of the reconciliation process described in the preceding sentence, Landlord shall promptly notify Tenant in writing of such further increase or decrease and the parties shall make any further adjustment payments in cash in the same manner contemplated in the preceding sentence.
Carrying Costs. Lessee shall pay or reimburse to Lessor all costs of owning the Properties, and all costs of maintaining the third party leases, including property taxes, annual claim fees, environmental compliance, third party lease payments and advance royalties, and any drilling or spending commitments for the third party leases. An estimate of these costs is attached as Exhibit E3 (the “Estimated Annual Costs”).
Carrying Costs. For a Collection Period, the sum, without duplication, of (i) the Accrued Interest Component of Related Commercial Paper with respect to such Collection Period whether or not such amount is payable during such Collection Period (for purposes of this clause (i), Related Commercial Paper shall include Commercial Paper issued to fund the Net Investment even if such Commercial Paper is issued in an amount in excess of the Net Investment), (ii) all interest amounts accrued in accordance with Sections 2.7(c), (d) and (e) hereof whether or not such amount is payable during such Collection Period, (iii) any Servicing Fees due to any successor Servicer, (iv) any amounts owed to the Indemnified Parties pursuant to Sections 12.1, 12.2, 12.3 and 12.4 hereof, (v) the Program Fee and the Transfer Availability Fee accrued from the first day through the last day of such Collection Period, (vi) interest on any other borrowings by the Purchaser to fund small dollar amounts that are not easily accommodated in the commercial paper market that accrued from the first day through the last day of such Collection Period whether or not such amount is payable during such Collection Period, and (vii) any past due Carrying Costs owing in respect of any prior Collection Period, together with interest thereon (to the extent permitted by applicable law) at a rate equal to the sum of the Base Rate and 2.00% per annum for the period from and including the original due date for such past due Carrying Costs to but excluding the date on which they are paid in full together with such interest thereon.
Carrying Costs. Signatories agree that any party may propose or oppose certain ratemaking treatment of carrying costs related to this COVID-19 AAO in Spire Missouri’s next general rate case.

Carrying Costs. Carrying Costs" means the charges added to and made a part of the Outstanding Construction Allowance from time to time on and before the Carrying Costs Accrual Termination Date pursuant to and as more particularly described in subparagraph 6.(a)(ii) below. (p) Carrying Costs Accrual Termination Date. "Carrying Costs Accrual Termination Date" means the earlier of (1) the Last Advance Date or (2) the first Advance Date that occurs at least ten (10) days after Landlord has received a notice from Tenant, in the form of Exhibit L attached hereto, stating that Tenant irrevocably elects to accelerate the Carrying Costs Accrual Termination Date and thereby accelerate the commencement of Base Rent accruals and the termination of accruals of Carrying Costs. It is understood that Tenant may, but shall not be required, to give such a notice at any time. (q)
Carrying Costs. During all phases of the Agreement, the Carrying Costs paid by Lessor will be invoiced to the Lessee monthly, and shall be due upon receipt.
