Common use of CARRIAGE Clause in Contracts

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet has agreed to carry the Channel(s) of the Broadcaster , for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through Asianet’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretion. (b) Asianet hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet , at its discretion may carry the Channel(s) of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) 8.1 By and under this reference interconnect offer, the Broadcaster/Authorised Agent Distributor hereby requests Asianet TCCL to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent Distributor providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet TCCL has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetTCCL’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet 8.2 TCCL hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent Distributor on the Cable Television Networks of Asianet TCCL subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. . 8.3 The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet . 8.4 As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the TCCL and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet AAACloud hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet AAACloud subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet SBBV Channel to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the MSO has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetSBBV Channel’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet SBBV Channel hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet SBBV Channel subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet JPR Channel to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the MSO has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetJPR Channel’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet JPR Channel hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet JPR Channel subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the JPR Channel and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Catvision to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-transmitting retransmitting and re-distributing the Channel/s in the Areas through AsianetCatvision’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Catvision hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Catvision subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the Catvision and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet BRDS to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetBRDS’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet BRDS hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet BRDS subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the BRDS and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) 1. By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Signet to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through Asianet’s Cable Television Networks Signet Digital Pvt Ltd. on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet 2. Signet hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Signet subject to, inter alia, technical and commercial parameters set out herein after in Annexures C 3 and D 4 respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the Signet and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent Broadcaster hereby requests Asianet GTPL to carry the Channel(s) and pursuant to the said request and upon request, the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, on a best effort basis, for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through AsianetGTPL’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet GTPL hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent Broadcaster on the Cable Television Networks of Asianet GTPL subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. . (c) It is hereby clarified that GTPL agrees to carry only those Channel(s) of the Broadcaster on the Cable Television Networks of GTPL, which are specified in Annexure B to this Agreement. (d) It is further clarified that if any Pay Channel of the Broadcaster listed as such in Annexure B to this Agreement, is converted into a Free-to-Air channel subsequent to this Agreeement, or any Free-to- Air channel listed as such in Annexure B to this Agreement, is converted into a Pay Channel subsequent to this Agreement, the Broadcaster shall have to reapply for carriage of their Channel(s) under fresh terms and conditions and will be considered based on the waiting list at the time. (e) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet . (f) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the GTPL and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet DLGTPL to carry the Channel(s) and pursuant to the said request and upon request, the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through AsianetDLGTPL’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet DLGTPL hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet DLGTPL subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. . (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Authorized Agent hereby requests Asianet AMN to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Authorised Broadcaster / Authorized Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetAMN’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet AMN hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Authorized Agent on the Cable Television Networks of Asianet AMN subject to, inter alia, technical and commercial parameters set out herein after in Annexures Annexure C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the AMN and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) 8.1 By and under this reference interconnect offer, the Broadcaster/Authorised Agent Distributor hereby requests Asianet ▇▇▇▇▇▇▇ to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent Distributor providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet ▇▇▇▇▇▇▇ has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through Asianet’s ▇▇▇▇▇▇▇’▇ Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet 8.2 ▇▇▇▇▇▇▇ hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent Distributor on the Cable Television Networks of Asianet ▇▇▇▇▇▇▇ subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. . 8.3 The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet . 8.4 As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /rate of carriage fee, manner of calculation of Carriage Fee payable to ▇▇▇▇▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees to provide the and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet TACTV to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetTACTV’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet TACTV hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet TACTV subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the TACTV and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Authorized Agent hereby requests Asianet Inspire Infratech Pvt Ltd to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Authorised Broadcaster / Authorized Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through Asianet’s Cable Television Networks Inspire Infratech Pvt Ltd on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Inspire Infratech Pvt Ltd hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Authorized Agent on the Cable Television Networks of Asianet Inspire Infratech Pvt Ltd subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the Inspire Infratech Pvt Ltd and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Mauli Cable Network to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetMauli Cable Network’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Mauli Cable Network hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Mauli Cable Network subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the Mauli Cable Network and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) 8.1 By and under this reference interconnect offer, the Broadcaster/Authorised Agent Distributor hereby requests Asianet ADV to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent Distributor providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet ADV has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetADV’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet hereby 8.2 ADV ▇▇▇▇▇▇ agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent Distributor on the Cable Television Networks of Asianet ADV subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. . 8.3 The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) RegulationsAddressable 8.4 As required under the Regulation, 2017 (“Regulation”)the conditions relating to, in accordance with Schedule I read with Schedule VII including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set out therein top boxes and provided in Annexure D hereto. Asianet high definition set top boxes at the time of publication of this RIO, at its discretion may carry discounts, if any, offered on the Channel(s) rate of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees carriage fee, manner of calculation of Carriage Fee payable to provide the ADV and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet ACDCN to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet ACDCN has agreed to carry the Channel(s) of the Broadcaster , for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through Asianet’s Cable Television Networks ▇▇▇▇▇▇▇ City Digital Communications Network Private Limited on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet ACDCN in the target market in each of the immediately preceding six months, Asianet ACDCN can discontinue to carry the channel at its discretion. (b) Asianet ACDCN hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet ACDCN subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet ACDCN, at its discretion may carry the Channel(s) of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to AsianetACDCN. Asianet ACDCN has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet EKAM Convergence to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetEKAM Convergence ’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet EKAM Convergence hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet EKAM Convergence subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the EKAM Convergence and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet KCL to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetKCL’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet KCL hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet KCL subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the KCL and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet City Television Network to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet City Television Network has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetCity Television Network’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet City Television Network hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet City Television Network subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet hereto City Television Network , at its discretion may carry the Channel(s) of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to City Television Network and other necessary conditions shall form part of this Agreement. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to AsianetCity Television Network. Asianet City Television Network has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Skyvision Master channel to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Skyvision Master channel has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetSkyvision Master channel’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Skyvision Master channel hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Skyvision Master channel subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet hereto Skyvision Master channel , at its discretion may carry the Channel(s) of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to City Television Network and other necessary conditions shall form part of this Agreement. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to AsianetSkyvision Master channel. Asianet Skyvision Master channel has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Broadcaster/ Authorised Agent hereby requests Asianet UCN to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster/ Authorised Agent providing the duly filled application/dulyfilled application/ declaration as set out setout in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-transmitting and re-re- distributing the Channel/s Channel/ in the Areas through AsianetUCN’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet UCN hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet UCN subject to, inter aliainteralia, technical and commercial parameters set out herein after hereinafter in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the UCN and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent Broadcaster hereby requests Asianet GTPL KCBPL to carry the Channel(s) and pursuant to the said request and upon request, the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, on a best effort basis, for the sole purpose of re-transmitting and re-re- distributing the Channel/s in the Areas through AsianetGTPL KCBPL’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet GTPL KCBPL hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent Broadcaster on the Cable Television Networks of Asianet GTPL KCBPL subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. . (c) It is hereby clarified that GTPL KCBPL agrees to carry only those Channel(s) of the Broadcaster on the Cable Television Networks of GTPL KCBPL, which are specified in Annexure B to this Agreement. (d) It is further clarified that if any Pay Channel of the Broadcaster listed as such in Annexure B to this Agreement, is converted into a Free-to-Air channel subsequent to this Agreeement, or any Free-to-Air channel listed as such in Annexure B to this Agreement, is converted into a Pay Channel subsequent to this Agreement, the Broadcaster shall have to reapply for carriage of their Channel(s) under fresh terms and conditions and will be considered based on the waiting list at the time. (e) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable SystemsAddressableSystems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet . (f) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the GTPL KCBPL and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

(a) By and under this reference interconnect offer, the Broadcaster/Authorised Authorized Agent hereby requests Asianet AMMA CABLE to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Authorised Broadcaster / Authorized Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet AMMA CABLE has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetAMMA CABLE ’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet AMMA CABLE hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Authorized Agent on the Cable Television Networks of Asianet AMMA CABLE subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet hereto AMMA CABLE , at its discretion may carry the Channel(s) of the Broadcaster /Authorised /Authorized Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to AMMA CABLE and other necessary conditions shall form part of this Agreement. Broadcaster/ Authorised Authorized Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to AsianetAMMA CABLE . Asianet AMMA CABLE has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent Broadcaster hereby requests Asianet GTPL KCBPL to carry the Channel(s) and pursuant to the said request and upon request, the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, on a best effort basis, for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through AsianetGTPL KCBPL’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. (b) Asianet GTPL KCBPL hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent Broadcaster on the Cable Television Networks of Asianet GTPL KCBPL subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. . (c) It is hereby clarified that GTPL KCBPL agrees to carry only those Channel(s) of the Broadcaster on the Cable Television Networks of GTPL KCBPL, which are specified in Annexure B to this Agreement. (d) It is further clarified that if any Pay Channel of the Broadcaster listed as such in Annexure B to this Agreement, is converted into a Free-to-Air channel subsequent to this Agreeement, or any Free-to- Air channel listed as such in Annexure B to this Agreement, is converted into a Pay Channel subsequent to this Agreement, the Broadcaster shall have to reapply for carriage of their Channel(s) under fresh terms and conditions and will be considered based on the waiting list at the time. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Ortel to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Ortel has agreed to carry the Channel(s) of the Broadcaster , for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through Asianet’s ▇▇▇▇▇’▇ Cable Television Networks on its addressable system to those subscribers who subscribe to the channelsystem. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretion. (b) Asianet Ortel hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Ortel subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet Ortel , at its discretion may carry the Channel(s) of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to AsianetOrtel. Asianet Ortel has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Lucky Cable Network to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the MSO has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetLucky Cable Network’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Lucky Cable Network hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Lucky Cable Network subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet ▇▇▇▇▇ Communications Limited to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet ▇▇▇▇▇ Communications Limited has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through Asianet▇▇▇▇▇ Communications Limited’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet ▇▇▇▇▇ Communications Limited hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet ▇▇▇▇▇ Communications Limited subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet hereto ▇▇▇▇▇ Communications Limited , at its discretion may carry the Channel(s) of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to ▇▇▇▇▇ Communications Limited and other necessary conditions shall form part of this Agreement. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to Asianet▇▇▇▇▇ Communications Limited. Asianet ▇▇▇▇▇ Communications Limited has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Authorized Agent hereby requests Asianet JUPITER 7 STAR to carry the Channel(s) and pursuant to the said request and upon request, the Broadcaster/Authorised Agent providing the duly filled application/declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through AsianetJUPITER 7 STAR’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet JUPITER 7 STAR hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Authorized Agent on the Cable Television Networks of Asianet JUPITER 7 STAR subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D heretohere to. Asianet As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at its discretion may carry the Channel(s) time of publication of this RIO, discounts, if any, offered on the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. Broadcaster/ Authorised Agent agrees rate of carriage fee, manner of calculation of Carriage Fee payable to provide the JUPITER 7 STAR and other necessary number conditions shall form part of IRDs and Digital encoders for digital headends to Asianet. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Hathway to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetHathway’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Hathway hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Hathway subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet has the sole discretion to decide the LCN position of the channel and packaging in each of the Territoriesthis Agreement.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Sri Sai Cable & Broadband Pvt Ltd to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet Sri Sai Cable & Broadband Pvt Ltd has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetSri Sai Cable & Broadband Pvt Ltd’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Sri Sai Cable & Broadband Pvt Ltd hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Sri Sai Cable & Broadband Pvt Ltd subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet hereto Sri Sai Cable & Broadband Pvt Ltd , at its discretion may carry the Channel(s) of the Broadcaster /Authorised Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to Sri Sai Cable & Broadband Pvt Ltd and other necessary conditions shall form part of this Agreement. Broadcaster/ Authorised Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends to Asianet. Asianet Sri Sai Cable & Broadband Pvt Ltd. Sri Sai Cable & Broadband Pvt Ltd has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Authorized Agent hereby requests Asianet APSFL to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Authorised Broadcaster / Authorized Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet APSFL has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas areas through AsianetAP Fiber Network’s Cable Television IPTV Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet APSFL hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Authorized Agent on the Cable Television IPTV Networks of Asianet APSFL subject to, inter alia, technical and commercial parameters set out herein after in Annexures Annexure C and D respectively of this Agreement. The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. Asianet hereto APSFL, at its discretion may carry the Channel(s) of the Broadcaster /Authorised /Authorized Agent on its new technology platforms like IPTV /▇▇▇ for any geographical location. As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to APSFL and other necessary conditions shall form part of this Agreement. Broadcaster/ Authorised Authorized Agent agrees to provide the necessary number of IRDs and Digital encoders for digital headends head ends to AsianetAP FiberNet Network. Asianet APSFL has the sole discretion to decide the LCN position of the channel and packaging in each of the Territories.

CARRIAGE. (a) 8.1 By and under this reference interconnect offer, the Broadcaster/Authorised Agent Distributor hereby requests Asianet EM Digital to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/theBroadcaster / Authorised Agent Distributor providing the duly filled application/application / declaration as set out setout in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet EM Digital has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetEM Digital’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet VAYU MEDIA hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet VAYU MEDIA subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. (a) By and under this reference interconnect offer, the Broadcaster/Authorised Agent hereby requests Asianet Technobile to carry the Channel(s) and pursuant to the said request and upon the Broadcaster/Broadcaster / Authorised Agent providing the duly filled application/application / declaration as set out in Schedule IV (annexed hereto) of the Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 Asianet the Company has agreed to carry the Channel(s) Channels of the Broadcaster on 24x7 basis and without any disruption and interruption, for the sole purpose of re-re- transmitting and re-distributing the Channel/s in the Areas through AsianetTechnobile’s Cable Television Networks on its addressable system to those subscribers who subscribe to the channel. If the monthly subscription percentage for the Channel(s) is less than five percentage of monthly average subscriber base of Asianet in the target market in each of the immediately preceding six months, Asianet can discontinue to carry the channel at its discretionsystem. (b) Asianet Technobile hereby agrees to carry the Channel(s) of the Broadcaster/ Authorised Agent on the Cable Television Networks of Asianet Technobile subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement.
