Capital Contribution of Leases, Etc. (a) By their execution and delivery of this Assignment and Servicing Agreement, the Originator, in consideration for the membership interests in the Seller, hereby contributes, transfers, assigns, sets over and conveys to the Seller, and the Seller hereby acquires from the Originator, without recourse (except to the extent of the Originator's Purchase Obligations as set forth herein), all of the Originator's right, title and interest in and to each of the Leases (including all Related Interests).
