Capacity of Buyer. Buyer is a real estate investment trust organized, validly existing and in good standing under the laws of the State of Maryland and is qualified to do business in all states in which the ownership of its assets or the conduct of its business makes such qualification necessary. Buyer has the requisite right, power, legal capacity, and authority to enter into this Agreement and to fully perform each and all of its obligations under this Agreement.
