The Company has full capacity to enter into and perform its obligations under the Underwriting Agreement and the Company has taken all necessary action to authorise its entry into the Underwriting Agreement and the exercise of its rights and the performance of its obligations under the Underwriting Agreement. The Company also has the power and capacity to own its property and to conduct its business as described in the Registration Statement.
