Cancellation Without Charge. The parties agree to substitute Subsection 2(C) of the TSA to read in its entirety as follows:

Cancellation Without Charge. Notwithstanding anything to the contrary contained in Subsection 2(A) above, Customer may cancel this Agreement without incurring any cancellation charge if:
Cancellation Without Charge. Notwithstanding anything to the contrary contained in Subsection 2(A) above, Customer may cancel this Agreement without incurring any cancellation charge if (i) WilTel fails to provide a network as warranted in Section 9 below; (ii) WilTel fails to deliver call detail records promptly based on the frequency selected by Customer (i.e., monthly, weekly or daily); or (iii) WilTel fails to submit ANI(s) relevant to such Service Requests to the LECs within the time period described in Subsection 1(E) above. Provided, however, Customer must give WilTel written notice of any such default and an opportunity to cure such default within five (5) days of the notice. In the event WilTel fails to cure any such default within the five-day period on more than three (3) occasions within any six (6) month period, Customer may cancel this Agreement without incurring any cancellation charge.
Cancellation Without Charge. Customer may cancel this Agreement without incurring any cancellation charge if (i) GridNet fails to provide the Services contracted for under this Agreement; or (ii) GridNet fails to provide a network as warranted in Section 4(B) and Section 9 (iii) Customer shall provide [ ] notice prior to migrating Subscribers to newly deployed Customer owned and operated POPs. Customer must, however, give GridNet written notice of any such default as detailed in (i), (ii) or (iii) above and an opportunity to cure such default within the Stated Interval of the notice. Default is defined here as a problem with the service to be provided or with the 2 network which is controllable by GridNet, and not as a result of a force majeure occurrence. For local dial access port availability, the Stated Interval shall be 30 working days. For all other defaults, the Stated Interval shall be 24 hours. In the event GridNet fails to cure any such default within the Stated Interval on more than three (3) occasions within any six (6) month period. Customer may cancel this Agreement without incurring any cancellation charge.

Provided, however, Customer must give MCI WorldCom written notice of any such default and an opportunity to cure such default within five (5) days of the notice. In the event MCI WorldCom fails to cure any such default within five-day period on more than three (3) occasions within any six (6) month period, customer may cancel this Agreement without incurring any cancellation charge.

Cancellation Without Charge. The District shall have the right to cancel an Order, without incurring any responsibility or liability to Supplier, in the following circumstances: (1) District shall have the right to cancel any Order, or portion of an Order, of Goods, at no cost to the District and without any charge or cancellation fee of any kind, provided that the District gives written notice to the Supplier of such cancellation no later than one (1) Working Day prior to delivery by the Supplier; and (2) District shall have the right, at no cost to the District and without any charge or cancellation fee of any kind, in the event of a termination of an Order due to Supplier default to cancel the Order directly affected by such default as well as any other outstanding Order that involves the purchase of Goods that, because of their relationship to the Goods covered by the terminated Order, are rendered substantially less useful or valuable to the District as a result of the such termination.

Cancellation Without Charge. The District shall have the right to cancel an Order, without incurring any responsibility or liability to Supplier, in the following circumstances: (1) District shall have the right to cancel any Order, or portion of an Order, of Goods, at no cost to the District and without any charge or cancellation fee of any kind, provided that the District gives written notice to the Supplier of such cancellation within one (1) Working Day of Receipt of Order by the Supplier; and (2) District shall have the right, at no cost to the District and without any charge or cancellation fee of any kind, in the event of a termination of an Order due to Supplier default pursuant to Section 12 of the General Conditions, to cancel the Order directly affected by such default as well as any other outstanding Order that involves the purchase of Goods that, because of their relationship to the Goods covered by the terminated Order, are rendered substantially less useful or valuable to the District as a result of the such termination.
