Common use of CALL OFF PROCEDURE Clause in Contracts

CALL OFF PROCEDURE. Subject to Paragraphs 1 to 7 above, a Contracting Body may award a Call Off Agreement with the Supplier by sending (including electronically) a signed Order Form substantially in the form (as as may be amended or refined by the Contracting Body in accordance with this Framework Schedule) of the relevant order form set out in Framework Schedule 4 (Order Form and Call Off Terms). The Parties agree that any document or communication (including any document or communication in the apparent form of a Call Off Agreement) which is not as described in this paragraph 8 shall not constitute a Call Off Agreement under this Framework Agreement. By signing and returning the Order Form to the Supplier, the Contracting Body is accepting the offer made by the Supplier: in their Service Package; or in their completed Short Form Further Competition Requirements Template; or in the Supplier’s tender response to a General Further Competition. On receipt of a signed Order Form from a Contracting Body a Call Off Agreement is formed; and the Supplier shall acknowledge the Order by promptly signing and returning a copy of the Order Form to the Contracting Body concerned. Within five (5) Working Days of receipt of the written notice from the Contracting Body, the Supplier shall send the relevant Order Form to the Authority. BID COSTS Contracting Bodies will not reimburse any costs incurred by a Supplier (including the costs or expenses of any subcontractors, consortium members or advisors) in connection with preparation and/or submission of any response to any competition conducted under this Framework Agreement.
