Calendar Quarters. In this Agreement "calendar quarter" shall mean any of the four three-month periods during a calendar year ending on March 31, June 30, September 30 and December 31 of such year.

Calendar Quarters. The independent accountant shall not be permitted to disclose to SHPI any information other than what may be required to confirm the accuracy of Licensee's (or a licensee's) royalty report and any payments made under this Agreement. Costs of any audit shall be borne by SHPI.

The burden of proof of unavoidable delay shall rest with the Contractor and shall be supplied in a written form and submitted to the Department. The Department reserves the right to request additional sales information as needed.
