Caledonia and Mt. Pleasant executing the amendment to the Mt. Pleasant/Caledonia Sewer Agreement attached hereto as Exhibit A. In the event that any of the contingencies in this section are not satisfied, any of the Parties may terminate this MOU by delivering written notice of termination to the other Parties to this MOU prior to June 30, 2018. If no written notice of termination has been delivered by June 30, 2018, the contingencies to this MOU shall be deemed satisfied and the MOU shall remain in full force and effect. This MOU may be executed electronically and in counterparts, each which shall be deemed an original and together which shall constitute one and the same instrument. TIPS requires that any contract entered into between a vendor and TIPS or a TIPS Member as a result of an award under this Solicitation limit the requirement that the Customer indemnify the Vendor by either eliminating any such indemnity requirement clauses in any agreements, contracts or other binding documents OR by prefacing all indemnity clauses required of TIPS or the TIPS Member entity with the following: "To the extent permitted by the laws or the Constitution of the state where the customer resides, ".
