C3 Recovery of Sums Due. C3.1 Wherever under the Contract any sum of money is recoverable from or payable by the Contractor to the Authority (including any sum which the Contractor is liable to pay to the Authority in respect of any breach of the Contract), the Authority may unilaterally deduct that sum from any sum then due, or which at any later time may become due to the Contractor from the Authority under the Contract or under any other agreement or contract with the Authority or the Crown.
C3 Recovery of Sums Due. C3.1 Wherever under the Contract any sum of money is recoverable from or payable by the Provider (including any sum which the Provider is liable to pay to the Authority in respect of any breach of the Contract), the Authority may unilaterally deduct that sum from any sum then due, or which at any later time may become due to the Provider under the Contract or under any other agreement or contract with the Authority. C3.2 Any overpayment by either Party, whether of the Fees or of VAT or otherwise, shall be a sum of money recoverable by the Party who made the overpayment from the Party in receipt of the overpayment.

C3.1 Wherever any sum of money is recoverable from or payable by the SERVICE PROVIDER (including any sum which the SERVICE PROVIDER is liable to pay to the Contracting AUTHORITY in respect of any breach of the Call-Off Contracts), the Contracting AUTHORITY may unilaterally deduct that sum from any sum then due, or which at any later time may become due to the SERVICE PROVIDER under the Call-Off Contracts or under any other agreement or contract with the Contracting AUTHORITY or with any other Central Government Departments, their Executive Agencies and Non-Departmental Public Bodies, including local/unitary authorities.

C3.1 Wherever under the Contract any sum of money is recoverable from or payable by the Contractor (including any sum which the Contractor is liable to pay to the Commissioner in respect of any breach of the Contract), the Commissioner may unilaterally deduct that sum from any sum then due, or which at any later time may become due to the Contractor under the Contract or under any other agreement or contract with the Commissioner. C3.2 Any overpayment by either Party, whether of the Contract Price or of VAT or otherwise, shall be a sum of money recoverable by the Party who made the overpayment from the Party in receipt of the overpayment. C3.3 The Contractor shall make all payments due to the Commissioner without any deduction whether by way of set-off, counterclaim, discount, abatement or otherwise unless the Contractor has a valid court order requiring an amount equal to such deduction to be paid by the Commissioner to the Contractor.
C3 Recovery of Sums Due. C3.1 Wherever under the Agreement any sum of money is recoverable from or payable by the Service Provider (including any sum which the Service Provider is liable to pay to the Council in respect of any breach of the Agreement), the Council may require the Service Provider to reduce future invoices by such sum. .Where recovery by reduction of future invoices is inappropriate for any reason, the Service Provider shall pay such sums promptly.

C3.1 Wherever under the Contract any sum of money is recoverable from or payable by the Client (including any sum which the Client is liable to pay to the Contractor in respect of any breach of the Contract), the Contractor may unilaterally add the sum to any future or existing invoice due to be paid to the Contractor by the Client or deduct that sum from any sum then due to the Client, or which at any later time may become due to the Client under the Contract or under any other agreement or contract with the Client. C3.2 Any overpayment by either Party, whether of the Contract Price or of VAT or otherwise, shall be a sum of money recoverable by the Party who made the overpayment from the Party in receipt of the overpayment.

C3.1 Wherever under the Contract any sum of money is recoverable from or payable by the Contractor (including any sum which the Contractor is liable to pay to the Council in respect of any breach of the Contract), the Council may deduct that sum from any sum then due, or which at any later time may become due to the Contractor under the Contract or under any other agreement or contract with the Council. C3.2 The Council shall notify the Contractor of any such deduction and provide details of how the deduction has been calculated. C3.3 Any overpayment by either Party, whether of the Contract Price or otherwise, shall be a sum of money recoverable by the Party who made the overpayment from the Party in receipt of the overpayment. C3.4 The Contractor shall make all payments due to the Council without any deduction whether by way of set-off, counterclaim, discount, abatement or otherwise unless the Contractor has a valid court order requiring an amount equal to such deduction to be paid by the Council to the Contractor. C3.5 All payments due shall be made within a reasonable time unless otherwise specified in the Contract, in cleared funds, to such bank or building society account as the recipient Party may from time to time direct. C.4.
