By the Issuers Sample Clauses

By the Issuers each of the Issuers, failing whom (in the case of EFI Notes) the Guarantor, shall, upon presentation of duly documented evidence, indemnify each Agent against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid or incurred in disputing or defending any of the foregoing) that it may incur or that may be made against it directly arising out of or in relation to or in connection with its appointment or the exercise of its functions, except such as may result from the Agent’s breach of this Agreement or its own negligence, fraud or wilful default or that of its officers, employees or agents.

By the Issuers. No Issuer may assign or transfer its rights or obligations under this Agreement without the prior written consent of the Dealers and any purported assignment or transfer without such consent shall be void.

  • Sale of Shares by the Issuer The rights granted to Distributors shall be nonexclusive in that the Issuer reserves the right to sell its shares to investors on applications received and accepted by the Issuer. Further, the Issuer reserves the right to issue shares in connection with the merger or consolidation, or acquisition by the Issuer through purchase or otherwise, with any other investment company, trust, or personal holding company.
