Common use of By the Executive Clause in Contracts

By the Executive. The Executive may terminate the Employment at any time with a prior written notice to the Company, if (1) there is a material reduction in the Executive’s authority, duties and responsibilities, or (2) there is a material reduction in the Executive’s annual salary. Upon the Executive’s termination of the Employment due to either of the above reasons, the Company shall provide compensation to the Executive equivalent to 12 months of the Executive’s base salary that he is entitled to immediately prior to such termination. In addition, the Executive may resign prior to the expiration of the Agreement if such resignation is approved by the Board or an alternative arrangement with respect to the Employment is agreed to by the Board.

Upon the Executive’s termination of the Employment due to either of the above reasonsUnder such circumstances, the Company shall provide compensation to the Executive equivalent to 12 months of the Executive’s base salary that he is entitled to immediately prior to such terminationthe same severance benefits as in the situation of termination by the Company without cause as set forth in Section 8(a) above. In addition, the Executive may resign prior to the expiration of the this Agreement if such resignation is approved by the Board or an alternative arrangement with respect to the Employment is agreed to by the Board.

The Executive may terminate the Employment at any time with a two-month prior written notice to the Company, if (1) there is a material reduction in the Executive’s authority, duties and responsibilities, or (2) there is a material reduction in the Executive’s annual salarysalary before the next annual salary review. Upon the Executive’s termination of the Employment due to either of the above reasons, the Company shall provide compensation to the Executive equivalent to 12 three months of the Executive’s base salary cash compensation that he he/she is entitled to immediately prior to such termination. In addition, the Executive may resign prior to the expiration of the Agreement if such resignation is approved by the Board or an alternative arrangement with respect to the Employment is agreed to by the Board, and the Executive shall not be entitled to any severance payments or benefits upon his/her voluntary resignation.
