By Station. If Station will be responsible for serving the digital Campaigns through its own ad servers, then Station will track delivery of such Campaigns Ads through such servers. The parties agree that Station’s final impression measurements will be used to determine the fees due under this Agreement. Notwithstanding the foregoing, if Advertiser’s own impression measurements show a discrepancy of ten percent (10%) or more, then Advertiser will promptly notify Station and the parties will thereafter meet and discuss in good faith an appropriate resolution, it being understood that Station may invoice Advertiser for amounts not in dispute while the dispute resolution discussions are ongoing.
By Station. Station shall at all times hereafter indemnify, defend and hold harmless the USOC and its officers, members, directors, employees, volunteers, agents and other representatives from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees, which may be brought, made or incurred by any third party from: (a) any breach of any obligation of Station in this Agreement; (b) any personal injury, including, but not limited to, defamation or libel by Station, the Programs, or any promotion of the Programs; (c) any use of Olympic- or Paralympic-related marks, images or terminology not authorized hereunder; and (d) any loss, damage or injury to persons or property, to the extent based on or in any manner arising out of the negligence or misconduct of Station or its agents and/or independent contractors in connection with the performance of this Agreement, whether actual or alleged.

  • Evaluation Software If the Software is an evaluation version or is provided to You for evaluation purposes, then, unless otherwise approved in writing by an authorized representative of Licensor, Your license to use the Software is limited solely for internal evaluation purposes in non-production use and in accordance with the terms of the evaluation offering under which You received the Software, and expires 90 days from installation (or such other period as may be indicated within the Software). Upon expiration of the evaluation period, You must discontinue use of the Software, return to an original state any actions performed by the Software, and delete the Software entirely from Your system and You may not download the Software again unless approved in writing by an authorized representative of Licensor. The Software may contain an automatic disabling mechanism that prevents its use after a certain period of time. RESTRICTIONS

  • System Logging The system must maintain an automated audit trail which can 20 identify the user or system process which initiates a request for PHI COUNTY discloses to 21 CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY, 22 or which alters such PHI. The audit trail must be date and time stamped, must log both successful and 23 failed accesses, must be read only, and must be restricted to authorized users. If such PHI is stored in a 24 database, database logging functionality must be enabled. Audit trail data must be archived for at least 3 25 years after occurrence.

  • System Use (a) An electronic site access system may be used on site, subject to the requirements of this statement. (b) The system operates via: (i) a facial recognition device; and (ii) an electronic gate. (c) The system will be installed at the access and egress point/s of the site and will only be utilised to identify presence on site. (d) The purpose for which the electronic site access system will be implemented is to ensure: (i) avoiding unauthorised access to site; (ii) confirmation and co-ordination of effort in emergency situations; and (iii) confirmation that all entrants to site have received a site specific induction; (e) The only personal data collected by the system is a site entrant’s: (i) image; (ii) first & last name; (iii) mobile phone number; (iv) email address; and (v) employer’s name. (the Collected Data) (f) The Collected Data will only be held or used for the purposes specified above, unless otherwise by consent or required by law. (g) The Employer will not use the electronic site access control system to verify who was on a site at a particular time for the purpose of: (i) evaluating whether a variation claim regarding labour costs made by a subcontractor can be substantiated; (ii) taking disciplinary action against an Employee, or assisting a subcontractor to take disciplinary action against its own employees, regarding their start and finish times; or (iii) otherwise generally tracking a worker’s movements whilst on the site.

  • Interconnection Facilities 4.1.1 The Interconnection Customer shall pay for the cost of the Interconnection Facilities itemized in Attachment 2 of this Agreement. The NYISO, in consultation with the Connecting Transmission Owner, shall provide a best estimate cost, including overheads, for the purchase and construction of its Interconnection Facilities and provide a detailed itemization of such costs. Costs associated with Interconnection Facilities may be shared with other entities that may benefit from such facilities by agreement of the Interconnection Customer, such other entities, the NYISO, and the Connecting Transmission Owner. 4.1.2 The Interconnection Customer shall be responsible for its share of all reasonable expenses, including overheads, associated with (1) owning, operating, maintaining, repairing, and replacing its own Interconnection Facilities, and

  • Data Use Each party may use Connected Account Data in accordance with this Agreement and the consent (if any) each obtains from each Connected Account. This consent includes, as to Stripe, consent it receives via the Connected Account Agreement.
