By Equifax. Equifax shall indemnify, defend and hold Intersections harmless upon demand, from and against any and all liabilities, claims, demands, actions, causes of action, suits, costs, damages, compensation, penalties, expenses (including, without limitation, attorney's fees and costs of litigation) and obligations of any kind or nature whatsoever arising out of or related in any way to any claim, demand, suit and/or judgment brought or asserted by any third party against Intersections or any of its affiliates resulting from claims based on (i) any allegation that the Equifax Materials infringe a third person's copyright, trademark or proprietary or intellectual property right, or misappropriates a third person's trade secrets; or (ii) Equifax's gross negligence or willful misconduct. Equifax agrees that Intersections shall have the right to participate in the defense of any such claim through counsel of its own choosing.
