Common use of By Both Parties Clause in Contracts

By Both Parties. Each party hereby represents, warrants, and agrees: (a) it is duly organized, validly existing, and has full authority to enter into this Agreement; (b) it has the full authority to perform its duties under this Agreement; (c) it will comply with all laws, rules and regulations applicable to the operation of its business and to its performance under this Agreement; and (d) performance under this Agreement does not conflict with any other duty to any other party under which it is bound, including proprietary and privacy rights.

By Both Parties. Each party hereby represents, warrants, to this Agreement represents and agrees: warrants (ai) that it is duly organized, validly existingexisting and in good standing under the laws of its organization, and (ii) that it has full power and authority to enter into this Agreement; , (bii) that this Agreement has been duly authorized by such party, (iii) that this Agreement is a legal, valid and binding agreement of such party enforceable against such party in accordance with its terms, and (iv) that it has obtained all consents and approvals, and made all registrations, required to be made or obtained to consummate the full authority to perform its duties under this Agreement; (c) it will comply with all laws, rules and regulations applicable to the operation of its business and to its performance under this Agreement; and (d) performance under this Agreement does not conflict with any other duty to any other party under which it is bound, including proprietary and privacy rightstransactions contemplated hereby.

Each party hereby representsrepresents and warrants to the other that: (i) the execution, warrantsdelivery, and agrees: performance of this Agreement have been duly authorized; (aii) its performance hereunder shall not conflict with any of its other obligations, whether arising by contract, operation of law, or otherwise; (iii) this Agreement constitutes a valid and binding obligation; and (iv) it is duly organized, validly existing, and has full authority to enter into this Agreement; (b) it has the full authority to perform in good standing in its duties under this Agreement; (c) it will comply with all laws, rules and regulations applicable to the operation jurisdiction of its business and to its performance under this Agreement; and (d) performance under this Agreement does not conflict with any other duty to any other party under which it is bound, including proprietary and privacy rightsformation.

By Both Parties. Each party hereby represents, warrants, Party represents and agreeswarrants to the other that: (ai) it is duly organizedhas the requisite power, validly existing, capacity and has full authority to enter into this AgreementAgreement and to carry out its obligations hereunder; (bii) this Agreement will be executed by its duly authorized representative and once executed shall constitute a legal, valid and binding obligation of each Party; and (iii) it has the full authority to perform its duties under this Agreement; (c) it will shall comply with all lawsapplicable laws and all relevant rules, rules regulations and regulations issued codes of practice and guidance applicable to the operation of its business and to its performance under this Agreement; and (d) performance under this Agreement does not conflict with any other duty to any other party under which it is bound, including proprietary and privacy rightssuch Party’s obligations hereunder.
