Buyer’s Responsibilities as Scheduling Coordinator. Buyer or Third- Party SC shall comply with all obligations as Seller’s Scheduling Coordinator under the CAISO Tariff and shall conduct all Scheduling in full compliance with the terms and conditions of this Agreement, the CAISO’s protocol and scheduling practices, and all requirements of EIRP (if applicable). Without limiting the generality of the foregoing, Buyer or Buyer’s SC will: (A) review and validate CAISO statements pertaining to any charges that are the responsibility of Seller in a timely manner, consistent with its existing settlement processes and prior to any CAISO deadlines for disputing such statements; (B) notify Seller of any errors found in the statements regarding any charges that are the responsibility of Seller and provide supporting documentation, (C) submit disputes to the CAISO concerning any errors or inaccuracies in the CAISO statements regarding any charges that are the responsibility of Seller, if Seller requests so on or before the required deadlines therefore, and diligently prosecute resolution of such disputes for the benefit of Seller; and (D) provide Seller complete documentation to support all CAISO market charges and payments that are the responsibility of Seller, and any disputes related to any such charges, payments or amounts.
Buyer’s Responsibilities as Scheduling Coordinator. (A) Buyer or Third-Party SC shall comply with all obligations as Seller’s Scheduling Coordinator under the CAISO Tariff and shall conduct all Scheduling in full compliance with the terms and conditions of this Agreement, the applicable CAISO Tariff, all requirements of EIRP (if applicable), and protocols and scheduling practices for Energy on a Day-Ahead basis or in the Hour-Ahead Scheduling Process, as such terms are defined in the CAISO Tariff. During the Test Period, Buyer as Scheduling Coordinator shall not be required to submit schedules for any Test Period energy but Buyer shall reasonably coordinate with the CAISO to facilitate the delivery of such Test Period energy and shall take such steps as are necessary to ensure that Test Period energy is settled at the CAISO real-time imbalance energy price.

  • Buyer’s Responsibilities 14.1 All sites at which the Products shall be delivered or installed shall be prepared by Buyer in accordance with Nortel's standards, including, without limitation, environmental requirements.

  • SELLER’S RESPONSIBILITIES (a) Seller shall act in performance of this Agreement as an independent contractor and not as an agent for Company or the Government in performing this Agreement, maintaining complete control over its employees and all lower-tier subcontractors. Nothing contained in this Agreement or any lower-tier subcontract shall create any contractual relationship between any such lower-tier subcontractor and the Government or Company. Seller is solely responsible for the actions of itself and its lower-tier subcontractors, agents or employees.

  • PURCHASER's Responsibilities For the duration of the suspension, PURCHASER is responsible to continue maintenance at the operations just as if the operations was in progress. This includes, but is not limited to, protection of completed operations, maintenance of access, protection of stored materials, temporary facilities, and clean-up. When operations re-commence after the suspension, the PURCHASER shall replace or renew any operations damaged during the suspension, remove any materials or facilities used as part of temporary maintenance, and complete the project in every respect as though its prosecution had been continuous and without suspension. If PURCHASER fails to remedy any violations of this contract within 10 days after receipt of the violation/suspension notice given under this section, STATE may, by written notice, cancel this contract and take appropriate action to recover all damages and expenses suffered by STATE by reason of such violations, including application of any advance payments and any performance bonds toward payment of such damages.

  • Seller’s Responsibility If the Seller determines that the Interface Problem is primarily attributable to the design of a Warranted Part, the Seller shall, if so requested by the Buyer and pursuant to the terms and conditions of Clause 12.1, correct the design of such Warranted Part to the extent of the Seller’s obligation as defined in Clause 12.1.

  • Customer’s Responsibilities 9.1 If and to the extent applicable or under the control of the Customer, Customer shall provide complete and accurate information regarding requirements for the Project and the Site(s), including, without limitation, constraints, space requirements, underground or hidden facilities and structures, and all applicable drawings and specifications.

  • Supplier’s Responsibilities 14.1 The Supplier shall supply all the Goods and Related Services included in the Scope of Supply in accordance with GCC Clause 12, and the Delivery and Completion Schedule, as per GCC Clause 13.

The Owner shall designate in writing a project coordinator to act as OWNER's representative with respect to the services to be rendered under this Agreement (hereinafter referred to as the "Project Coordinator").   • Contractor’s Responsibilities Unless stated specifically to the contrary in the tender with full supporting explanations, the contractor will be deemed to have concurred as a practical manufacturer with the design and layout of the works as being sufficient to ensure reliability and safety in operation, freedom from undue stresses and satisfactory performance in all other essentials as a working material.

  • PROVIDER’S RESPONSIBILITIES A Provider (HUB or non-HUB) must perform a minimum of 30% of the contract with its employees (as defined by the Internal Revenue Service). The contract is subject to the HSP Good Faith Effort Requirements.
