BUYER'S INSPECTION RIGHTS DURING ESCROW. During the term of the Escrow, Buyer, its agents, contractors and subcontractors shall have the right to enter upon the Properties and, to the extent permitted by the Rancho Xxxxxx Loan Documents, the Rancho Downey Property at reasonable times during ordinary business hours, upon reasonable prior notice to Seller and subject to the rights of tenants under the Leases, to make any and all inspections and tests as may be necessary or desirable in Buyer's judgment; PROVIDED, that Buyer shall not make any environmental inspections that are more intrusive than a Phase 1 examination without Seller's prior approval thereof. Buyer shall indemnify and hold Seller harmless from any damages to any Property or the Rancho Xxxxxx Property to the extent such damages result from Buyer's entry and/or activities upon the respective Real Property by Buyer, its agents, contractors and/or subcontractors.

Upon request, Seller shall provide Buyer with adequate proof of insurance against such risk of loss.   • Deposit of Escrow Shares On or before the Effective Date, each of the Initial Stockholders shall deliver to the Escrow Agent certificates representing his respective Escrow Shares, to be held and disbursed subject to the terms and conditions of this Agreement.
