Common use of Buyer's Documents Clause in Contracts

Buyer's Documents. At the Closing, Buyer shall deliver or cause to be delivered to Seller the following: 14.2.1 Certified resolutions of the Board of Directors of Buyer approving the execution and delivery of this Agreement and authorizing the consummation of the transactions contemplated hereby; 14.2.2 A certificate of Buyer, dated the Closing Date, in the form described in Section 12.1.3;

At the Closing, Buyer Buyers shall deliver or cause to be delivered to Seller Sellers the following: 14.2.1 Certified resolutions of the Board of Directors of Buyer Buyers and Regent approving the execution and delivery of this Agreement and authorizing the consummation of the transactions contemplated hereby; 14.2.2 A certificate of BuyerBuyers and Regent, dated the Closing Date, in the form described in Section 12.1.3; 14.2.3 The Assignment and Assumption Agreement; 14.2.4 The Indemnification Escrow Agreement;
