Buyer Services. On the terms and conditions of this Agreement, Buyer hereby agrees to provide or cause one or more of its Subsidiaries or Affiliates or a Service Provider that is providing a Service to the Acquired Business to provide the services listed on Attachment B (the “Buyer Services”) to Seller and its Subsidiaries or Affiliates for the Term of this Agreement with respect to each Buyer Service.
Buyer Services. In order to enable Provider to provide the Transition Services, Buyers shall cooperate with and provide any information or services required by Provider in connection with its performance of the Transition Services).
Buyer Services. Buyer hereby undertakes as follows:
Buyer Services. Seller will reimburse Buyer for all actual and reasonable costs Buyer incurs in providing the Buyer Services set forth in ARTICLE 3. For any amount of reimbursable costs and expenses (i) due to a third party, Seller will pay to Buyer the entire amount thereof within ten (10) business days after receipt of an invoice or similar document therefor; (ii) due to or in respect of Buyer’s employees, staff, or information technology consultants, Seller will pay to Buyer the entire amount thereof within ten (10) business days. Buyer will provide to Seller (i) all invoices and the like received from third party providers promptly upon receipt and (ii) invoices and the like (together with reasonable supporting documentation) for all other reimbursable costs and expenses.
Buyer Services. For as long as Buyer operates the Equipment, Buyer shall offer to Seller coating services of the Business upon reasonable pricing and delivery terms. If Seller requires coating services that were developed by Seller prior to Closing, Buyer shall provide such services at a reasonable discount from Buyer’s standard pricing. For avoidance of doubt, coatings, services and/or products sold to Seller hereunder shall be excluded from the calculation of Royalties in Section 1.3(C).
Buyer Services. Buyer or its Subsidiaries shall provide corresponding Services (for similar time periods) to those set forth on Schedules 1 through 4 of this Agreement for Seller Parent’s and its Affiliates’ employees and businesses that remain located at the facilities set forth below that were transferred to Buyer pursuant to the Purchase Agreement:
Buyer Services. In consideration of the payment by Seller to Buyer or the Company of the Buyer Charges subject to the terms of this Agreement, Buyer shall during the Transition Period procure the provision by the Company of the Buyer Services to the same standard as such services were provided to the Seller immediately prior to Closing. Except as agreed between the Parties in writing, Buyer shall not have any obligation to provide any services which are not part of the Buyer Services.
Buyer Services. During the term of this Services Agreement, the Buyer shall, upon the reasonable request of the Seller, provide the Seller with hazardous waste water services, and the Seller shall reimburse the Buyer, within thirty (30) days after the date of an invoice therefor, for its reasonable cost therefor, including all reasonable and documented out-of-pocket costs and expenses associated therewith. The Buyer shall provide such services on terms and conditions mutually agreeable to the Parties. Notwithstanding the foregoing, if the Buyer shall, at any time prior to the expiration of this Services Agreement, cease to perform such hazardous waste water services in connection with its own business, the Buyer shall have no further obligation to provide such services to the Seller hereunder.
Buyer Services. NCLP (i) shall utilize internal audit services provided by Buyer and (ii) if it decides in its discretion to use benefit plans sponsored by Buyer, it shall also utilize benefit plan administration services provided by Buyer with respect to such plans; provided, however, that in each instance NCLP shall reimburse Buyer for such services on a cost basis. Should NCLP, in its discretion, desire any other services of Buyer, such services shall be provided at a cost negotiated by NCLP and Buyer. Buyer shall from time to time provide short-term financing to NCLP at Buyer's then current short-term borrowing rate.
Buyer Services. Finance Overland will, or Buyer will cause one or more of its Affiliates to, provide following the Closing and during the Term to Seller those services described in this Schedule A. Overland will only be obligated to perform the services described in this Schedule A if and to the extent that, in its sole discretion, it has access to the personnel and other resources reasonably necessary to perform the services in a manner that does not substantially interfere with the business of Overland; provided, that Overland shall not take actions with the primary purpose of ceasing to have access to the personnel and other resources reasonably necessary to perform the services in this Schedule A. Seller will use its commercially reasonable efforts to arrange to replace the services provided by Overland hereunder as soon as reasonably practicable after the Closing with services it provides for itself or with services it obtains from third parties. In consideration for the services provided hereunder, Seller will pay to Overland the amounts for such services as specified in this Schedule A.
