Common use of Buyer Information Clause in Contracts

Buyer Information. The information relating to Buyer and its Subsidiaries to be contained or incorporated by reference in the Proxy Statement and the S-4, or in any other document filed with any other Governmental Entity in connection herewith, will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they are made, not misleading.

Buyer Information. The information relating to the Buyer and its Subsidiaries subsidiaries to be contained or incorporated by reference in the Proxy Buyer Registration Statement and the S-4Proxy Statement, or as described in Section 5.04 hereof, and any other document documents filed with the SEC or any other Governmental Entity regulatory agency in connection herewith, to the extent such information is provided in writing by the Buyer, will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they are made, such information not misleading.

Buyer Information. The information relating to Buyer that is provided by Buyer or its representatives for inclusion in the Form S-4 and its Subsidiaries to be contained or incorporated by reference in the Proxy Statement and the S-4Statement, or in any application, notification or other document filed with any other Regulatory Agency or other Governmental Entity in connection herewithwith the transactions contemplated by this Agreement, will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they are made, not misleading.
