Common use of Business Opportunities Clause in Contracts

Business Opportunities. During Executive’s Employment, Executive shall promptly disclose to the Company each business opportunity of a type, which based upon its prospects and relationship to the business of the Company or its affiliates, the Company might reasonably consider pursuing. In the event that Executive’s Employment is terminated for any reason, the Company or its affiliates shall have the exclusive right to participate in or undertake any such opportunity on their own behalf without any involvement by or compensation to Executive under this Agreement.

In Upon any expiration or termination of the event that Executive’s Employment is terminated for any reasonTerm, the Employer or such other Covered Company or its affiliates shall have the exclusive right to participate in or undertake any such opportunity on their its own behalf without any direct or indirect involvement by or compensation to Executive under this Agreementof Executive.

During Executive’s Employment, Executive agrees that Executive shall promptly disclose to the Company each any business opportunity of a type, which based upon its prospects and relationship to the business of Executive becomes aware during Executive's employment with the Company which relates to any product or its affiliatesservices planned, under development, developed, produced or marketed by the Company might reasonably consider pursuingand which Executive becomes aware in the course of or as a result of Executive's employment with the Company. In the event Executive agrees that Executive’s Employment is terminated for any reason, the Company Executive will not take advantage of or its affiliates shall have the exclusive right to participate in or undertake divert any such opportunity on their own behalf without for the direct or indirect gain, profit or benefit of Executive or any involvement by other person or compensation to Executive under this Agreemententity.
