Business Associate’s Operations. Business Associate is permitted by this Agreement to use PHI it creates for or receives from Recipient or its Subsidiaries: (i) if such use is reasonably necessary for Business Associate’s proper management and administration; and (ii) as reasonably necessary to carry out Business Associate’s legal responsibilities. Business Associate is permitted to disclose PHI it creates for or receives from Recipient or its Subsidiaries for the purposes identified in this Section only if the following conditions are met:

Business Associate’s Operations. Business Associate may Use Private Information only to the extent and as necessary for Business Associate’s own proper management and administration or to carry out Business Associate’s legal responsibilities. Business Associate may Disclose such Private Information, except for any such Nonpublic Personal Financial Information, for Business Associate’s own proper management and administration or to carry out Business Associate’s legal responsibilities only if: the disclosure is Required by Law; or Business Associate obtains reasonable assurance, evidenced by written contract, from any person or organization to which Business Associate will Disclose such Private Information that the person or organization will: hold such Private Information in confidence and Use or further Disclose it only to the extent and as necessary for the purpose for which Business Associate Disclosed it to the person or organization; and notify Business Associate (who will in turn promptly notify Horizon) of any instance of which the person or organization becomes aware in which the privacy or security of such Private Information was breached. Data Aggregation. Upon request by Horizon, or in order to fulfill Business Associate’s duties under the Agreement, Business Associate may conduct Data Aggregation services to the extent permitted by the HIPAA Rules and not otherwise prohibited by this Agreement.
Business Associate’s Operations. Business Associate may use the minimum necessary PHI created for or received from Group Health Plan solely as necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilities under the Agreement. Business Associate may disclose such minimum necessary PHI only as necessary for Business Associate’s proper management and administration or to carry out Business Associate’s legal responsibilities under the Agreement only if:
