Business and Purposes. The business and purpose of the Company shall be to operate a radiation therapy center (“Radiation Therapy Center”) in Gettysburg, Pennsylvania and engage in all activities incidental thereto, and to engage in such other business, and have such other purposes, as the Members may from time to time jointly determine and as are permitted by the Act.

The business and purpose of the SPE Owners are (i) to own, hold, develop, construct, lease, operate, manage, maintain, improve, repair, sell, finance and refinance the US Commercial Properties, directly or through one or more agents, for the production of income; and (ii) to carry on any activities, directly or indirectly, incidental or related thereto. The Partnership shall be the sole member of each SPE Owner’s general partner and the Partnership shall be the sole limited partner of each SPE Owner.

The business and purpose of each of the Subsidiaries is (i) to own, hold, develop, construct, lease, operate, manage, maintain, improve, repair, sell, finance and refinance the Hotels, directly or through one or more agents, for the production of income; and (ii) to carry on any and all activities, directly or indirectly, incidental or related thereto. The Partnership may acquire additional hotel properties (other than xxx Xxxxx Hotel Property and the Sandusky Hotel Property) as may be approved by CNL LP and GW LP.

The sole business and purpose of the Company shall be (i) to own a 100% ownership interest in the Subsidiary, and (ii) to carry on any and all activities, directly or indirectly, incidental or related hereto (but not including the acquisition of material assets not related to the ownership and management of the Subsidiary). The Company shall be the sole member of the Subsidiary.
