Borrower will qualify to do business and will remain in good standing under the laws of each the jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Property.

Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the PropertyProperties. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the PropertyProperties.

Borrower will continue to engage in the businesses presently now conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower will qualify to do business and will remain in good standing under the laws of the State and each other applicable jurisdiction in which the Property is located, in each case, as and to the extent the same are required for the ownership, maintenance, management and operation of the Property.

Borrower shall at all times during the term of the Loan, continue to own the Personal Property that it owns as of the date hereof, if any, which are necessary to operate the Property in the manner required hereunder and in the manner in which it is currently operated.

Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the Property. Borrower shall at all times cause the Property to be maintained as an office building.

Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management ownership and operation leasing of the PropertyIndividual Properties. Each Individual Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the Propertyrelated Individual Properties. Borrower shall at all times cause the Individual Properties to be maintained as first class full service hotels.

Business and Operations. Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management ownership and operation leasing of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the Property. Borrower shall at all times cause the Property to be maintained as an office property with a restaurant on the first floor and other uses ancillary to such uses.

Borrower will shall continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property, and shall continue to operate the Property for such purposes. Each Individual Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the PropertyProperties. Each Individual Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the PropertyProperties.

Each Borrower will continue to engage in the businesses presently now conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the each Individual Property. Each Borrower will qualify to do business and will remain in good standing under the laws of the State and each other applicable jurisdiction in which each applicable Individual Property is located, in each case, as and to the extent the same are required for the ownership, maintenance, management and operation by Borrower of the such Individual Property.

Borrower shall at all times cause the Property to be maintained as a commercial retail shopping center.

Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower Each Owner will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Property.

Each Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the its Individual Property. Each Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the its Individual Property.

Borrower shall at all times cause the Operating Company to maintain each Individual Property as a KinderCare child care center.

Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management ownership and operation leasing of the PropertyProperties by Borrower. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the PropertyProperties.

Business and Operations. Borrower will continue to engage only in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the PropertyProperties. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the PropertyProperties.

Borrower will continue (and cause Owner to continue) to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower will cause Owner to qualify to do business and will remain in good standing (and cause Owner to remain in good standing) under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Property.Property and the Collateral.‌

Business and Operations. Borrower will continue to engage in the businesses presently currently conducted by it it, including as and to the extent the same are necessary for the ownership, operation, maintenance, repair, improvement, development, sale, management and operation leasing of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the Property. Borrower shall at all times cause the Property to be maintained as office, ground floor retail and other appurtenant uses.

Business and Operations. Each Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the its Property. Each Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the its Property.

Borrower Borrowers will continue to engage in the businesses presently currently conducted by it them as and to the extent the same are necessary for the ownership, maintenance, management ownership and operation leasing of the PropertyIndividual Properties. Each Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the related Individual Property. Borrowers shall at all times cause each Individual Property to be maintained as an office building.

Business and Operations. Each Individual Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the PropertyIndividual Property owned by such Individual Borrower. Each Individual Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the PropertyIndividual Property owned by such Individual Borrower.

Business and Operations. Borrower shall at all times cause the Property to be maintained as a hotel (subject to the provisions of this Agreement).

Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the each Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Propertyeach Property or ownership and management of an interest in Borrower (as applicable).

Business and Operations. For so long as Borrower owns the Property, Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Property.

Each Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the PropertyProperty owned by it. Each Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of such Property, in each case to the Propertyextent failure to do so would have a Material Adverse Effect.

Borrower and Operating Tenant shall at all times cause the Property to be maintained as a hotel.

Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each the jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the PropertyProperty to the extent necessary to avoid a Material Adverse Effect.

Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management ownership and operation leasing of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the related Property. Borrower shall at all times cause the Property to be maintained as a carrier hotel/telecommunications interconnection facility.

Business and Operations. Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for its ownership of the ownership, Property and the maintenance, management and operation of the PropertyProperty as currently conducted by Borrower. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction the State as and to the extent the same are required for its ownership of the ownership, Property and the maintenance, management and operation of the PropertyProperty as currently conducted by Borrower.

Business and Operations. Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation ownership of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, ownership of the Property or in the event the Ground Lease is terminated the maintenance, management and operation of the Property.

Borrower shall at all times cause the Property to be maintained as an office complex.

Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Property. Borrower shall at all times cause the Property to be maintained for (a) developing and supplying systems for electronics manufacturing and related operations and (b) purposes permitted under the Existing Leases or other Leases permitted under this Agreement.

Borrower will continue to engage in the businesses presently currently conducted by it them as and to the extent the same are necessary for the ownership, maintenance, management ownership and operation leasing of the Individual Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the Individual Property. Borrower shall at all times cause the Individual Property to be maintained as an office building.

Business and Operations. Borrower, Borrower will Subsidiary, and Affiliate Tenant shall continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower will shall qualify to do business and will shall remain in good standing under the laws of each jurisdiction the State in which the Property is located and as and to the extent the same are required for the ownership, maintenance, management and operation of the Property.

Business and Operations. Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. , Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Property.

Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the Propertyrelated Individual Properties. Borrower shall at all times cause the Individual Properties to be maintained as first class full service hotels.

Business and Operations. Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the PropertyMortgaged Properties. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the PropertyMortgaged Properties.

Business and Operations. Borrower will shall continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the each Individual Property, and shall continue to operate each Individual Property for such purposes. Borrower will qualify to do business and will remain in good standing under the laws Laws of each the jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the each Individual Property.

Business and Operations. Each Borrower will continue to engage in the businesses presently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the PropertyProperty owned by it. Each Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of such Property in each case to the Propertyextent failure so to do would have a Material Adverse Effect.

Borrower shall at all times cause the Property to be maintained for office and telecommunication (with co-location facilities) purposes and other appurtenant and related uses.

Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenanceleasing, management and operation or maintenance of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the related Property. Borrower shall at all times cause the Property to be maintained as an office, research and development and industrial facility.

Business and Operations. Borrower will continue to engage in the businesses presently now conducted by it as and to the extent the same are necessary for the ownership, maintenance, leasing, management and operation of the PropertyProperties. Each Borrower will qualify to do business and will remain in good standing under the laws of each the jurisdiction in which the Individual Property it owns is located as and to the extent the same are required for the ownership, maintenance, management and operation of the PropertyIndividual Property that it owns.

Business and Operations. Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management ownership and operation leasing of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management ownership and operation leasing of the related Property. Borrower shall at all times cause each Individual Property to be maintained as an industrial business park.

Business and Operations. Borrower will continue to engage in the businesses presently currently conducted by it as and to the extent the same are necessary for the ownership, maintenance, management and operation of the Property. Borrower will qualify to do business and will remain in good standing under the laws of each jurisdiction as and to the extent the same are required for the ownership, maintenance, management and operation of the Property. Borrower shall at all times cause the Property to be maintained as an office building and research and development facilities as currently used (or reasonably related thereto).
