Common use of Bulk Sales Act Clause in Contracts

Bulk Sales Act. The parties hereby waive compliance with the bulk sales act or comparable statutory provisions of each applicable jurisdiction. Seller shall indemnify Purchaser and its officers, directors, employees, agents and Affiliates in respect of, and hold each of them harmless from and against, any and all Losses suffered, occurred or sustained by any of them or to which any of them becomes subject, resulting from, arising out of or relating to the failure of Seller to comply with the terms of any such provisions applicable to the transactions contemplated by this Agreement.

Seller shall indemnify Purchaser and its officers, directors, employees, agents and Affiliates in with respect of, and hold each to the sale of them harmless from and against, any and or all Losses suffered, occurred or sustained by of the Purchased Assets to Buyer; it being understood that any of them or to which any of them becomes subject, resulting from, Liabilities arising out of or relating to the failure of Seller to comply with the terms requirements and provisions of any such provisions applicable to the transactions contemplated by this Agreementbulk sales, bulk transfer or similar Laws of any jurisdiction which would not otherwise constitute Assumed Liabilities shall be treated as Retained Liabilities.
