Building Information Modeling. Ownership/Licensing. The Design Materials, including all BIM files, will, upon completion of the Project, become the property of the Owner and the Parties agree to provide the Owner, as a deliverable before Final Completion, the most recent version of all BIM files. Notwithstanding the above, the design elements that were created by the Parties, before execution of the Agreement, as extensions to commercially available building information modeling software remain the property of the respective Party that created the extension, regardless of whether it was used in a Model for this Project. The Parties grant a non-exclusive, irrevocable, perpetual license to each other to use any BIM information solely for the purpose of designing, analyzing and constructing this Project and for its future maintenance and remodeling. Provided the Party has not been terminated for convenience or cause, Owner grants each Party a non-exclusive, irrevocable, perpetual license solely for use or display of the Project BIM information for educational or promotional purposes.
