Common use of Brokers Clause in Contracts

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of such Stockholder, on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent or the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such the Stockholder.

No broker, finder, financial advisor, investment banker or other Person person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent, Merger Sub or the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderthe Stockholder (other than as an officer or director of the Company).

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Buyer, the Company or any of their respective Affiliates in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderShareholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Parent, Purchaser or Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, investment banker, financial advisor, investment banker advisor or other similar Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such StockholderRollover Holder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company Parent Entities or the Partnership in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderUnitholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person agent is entitled to any brokerage, finder’s, financial advisor’s ’s, investment banking or other similar fee or commission from payable by the Company or any of its Subsidiaries in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of such Stockholder, on behalf of such Stockholder.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderHolder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by by, or to the knowledge of such Stockholder, on behalf of such Stockholder.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker finder or other Person person is entitled to any brokerage, finder’sinvestment banker's, financial advisor’s 's, finder's or other similar fee or commission from for which the Company will be liable in connection with the transactions contemplated hereby based upon arrangements made execution of this Agreement by the Investor or on behalf the performance by the Investor of such Stockholderits obligations hereunder, except as otherwise set forth in the Fee Letter.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent or the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such the Stockholder.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or and on behalf of such StockholderBuyer or any of its respective Affiliates for which Seller or any Group Company may become liable.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent, Purchaser or the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other similar Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by origin, negotiation or on behalf execution of such Stockholderthis Agreement or in connection with the Transactions.

Brokers. No broker, finder, investment banker, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission commission, or the reimbursement of expenses, from the Company prior to the Effective Time in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of such Stockholder, on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such the Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of any Stockholder, on behalf of any such StockholderStockholder in its capacity as a stockholder of the Company.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent, Purchaser or the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s, investment banker’s or other similar fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderany member of the Company Group.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s, investment banker’s or other similar fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderany Subject Entity.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s, investment banker’s or other similar fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderthe Company.

Brokers. No broker, finder, financial advisor, investment banker or other Person agent is entitled to any brokerage, finder’s, financial advisor’s ’s, investment banking or other similar fee or commission from payable by the Company or any of its Subsidiaries in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of the Stockholder, on behalf of such the Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Parent, Merger Sub or Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s, investment banker’s or other similar fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such StockholderPerson.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Parent, Purchaser or Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of Stockholder, on behalf of such Stockholder.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission from that is payable by the Company Company, Bearing, Sub or any of their respective subsidiaries in connection with the transactions contemplated hereby herein based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or and on behalf of such StockholderPurchaser any of its Affiliates except as set forth on Schedule 6.4.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby Asset Sale based upon arrangements made by or on behalf of such Stockholderthe Company.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from payable by the Company or any of its Subsidiaries in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of such Stockholder, on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the Offer, the Merger or any of the other transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderParent or Merger Sub for which the Company would have any liability.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or and on behalf of such StockholderBuyer or any of its respective Affiliates.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from Parent, Merger Sub or the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person third party is entitled to any brokeragebroker’s, finder’s, financial advisor’s, investment banker’s or other similar fee or commission from the Company or similar payment in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthis Agreement.

Brokers. No broker, finder, investment banker, financial advisor, investment banker advisor or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission commission, or the reimbursement of expenses, from the Company prior to the Effective Time in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderSecurity Holder.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker finder or other Person person is entitled to any brokerage, finder’sinvestment banker's, financial advisor’s 's, finder's or other similar fee or commission from for which the Company will be liable in connection with the transactions contemplated hereby based upon arrangements made execution of this Agreement by the Investor or on behalf the performance by the Investor of such Stockholderits obligations hereunder, except as otherwise set forth in this Agreement.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from payable by the Company in connection with the transactions contemplated hereby Arrangement based upon arrangements made by or on behalf of such Stockholderthe Purchaser or Acquireco.

Brokers. No financial advisor, investment banker, broker, finder, financial advisor, investment banker agent or other Person is entitled to any financial advisor, investment banking, brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of such Stockholder, on behalf of such Stockholder.

Brokers. No broker, finder, financial advisor, finder or investment banker or other Person is entitled to any brokerage, finderbroker’s, financial advisor’s, finder’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderthe Company.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderShareholder.

Brokers. No broker, finder, financial advisor, investment banker banker, or other Person is entitled to any brokerage, finder’s, financial advisor’s ’s, or other similar fee or commission from the Company in connection with the transactions contemplated hereby Stockholder tendering the Subject Shares based upon arrangements made by or on behalf of such Stockholderthe Stockholder in its capacity as such.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of the Stockholder, on behalf of such the Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person agent is entitled to any brokerage, finder’s, financial advisor’s ’s, investment banking or other similar fee or commission from payable by the Company in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of the Stockholder, on behalf of such the Stockholder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is or will be entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby Merger based upon arrangements made by or on behalf of such Stockholderany Seller, for which the Company could be liable, or by or on behalf of the Company.

Brokers. No broker, finder, investment banker, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission commission, or the reimbursement of expenses, from the Company prior to the Effective Time in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of the Stockholder, on behalf of such the Stockholder.

Brokers. No financial advisor, investment banker, broker, finder, financial advisor, investment banker agent or other Person is entitled to any financial advisor’s, investment banking, brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Support Agreement based upon arrangements made by or on behalf of such StockholderShareholder.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s advisory, investment banker or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon on arrangements made by or on behalf of such Stockholderthe Company Group.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker finder or other Person is entitled to any brokerage, finder’sinvestment banker's, financial advisor’s 's, finder's or other similar fee or commission from for which the Company will be liable in connection with the transactions contemplated hereby based upon arrangements made execution of this Agreement by the Investors or on behalf the performance by the Investors of such Stockholdertheir obligations hereunder.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby Merger based upon arrangements made by or on behalf of such Stockholderthe Company.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthe Company.

No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of such Stockholder, on behalf of such Stockholder, for which Parent, Merger Sub, the Company, the Surviving Corporation or any of their respective Affiliates would have any liability.

Brokers. No broker, finder, finder or financial advisor, investment banker advisor or other Person is entitled to any brokeragebrokerage fees, finder’scommissions, finders’ fees or financial advisor’s or other similar fee or commission from the Company advisory fees in connection with the transactions contemplated hereby based upon arrangements made by reason of any action taken by Buyer or on behalf any of such Stockholderits members, managers, officers, employees, representatives or agents.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokeragea broker's commission, finder’s's fee, financial advisor’s or other similar investment banker's fee or commission similar payment from the Company in connection with the Merger or any of the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderhereby.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person is entitled to any brokeragebroker's, finder’s's, financial advisor’s 's or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthe Company or any of its subsidiaries.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.Shareholder

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderStockholder in his or her capacity as such.

Brokers. No broker, finder, financial consultant, advisor, or investment banker or other Person is entitled to any brokerage, finderconsultant’s, financial advisor’s, finder’s or other similar fee or commission from the Company in connection with the transactions Transaction or any transaction contemplated hereby by any Transaction Document based upon arrangements made by or on behalf of such StockholderBuyer for which any Seller Entity could become liable or obligated.

Brokers. No broker, finder, financial advisor, investment banker or other Person agent is entitled to any brokerage, finder’s, financial advisor’s ’s, investment banking or other similar fee or commission from payable by the Company or any of its Subsidiaries in connection with the transactions contemplated hereby based upon arrangements made by or or, to the knowledge of Stockholder, on behalf of such Stockholder.

Brokers. No broker, finder, financial advisoradvisor or investment banker, investment banker or other Person than Barclays PLC, is entitled to any brokeragebroker’s, finder’s, financial advisor’s, investment banker’s or other similar fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such StockholderSeller.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from to be paid by the Company or its Subsidiaries in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

Brokers. No broker, finder, financial advisoradvisor or investment banker, investment banker or other Person than Barclays PLC, is entitled to any brokeragebroker’s, finder’s, financial advisor’s, investment banker’s or other similar fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderany Group Company.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from payable by the Company in connection with the transactions contemplated hereby Asset Sale based upon arrangements made by or on behalf of such StockholderParent or Buyer, as the case may be.

Brokers. No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such the Stockholder.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person ------- person, is entitled to any brokeragebroker's, finder’s's, financial advisor’s 's or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderPurchaser or any Affiliate.

No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby such Stockholder tendering its Shares pursuant to this Agreement based upon arrangements made by by, or to the knowledge of such Stockholder, on behalf of such StockholderStockholder in its capacity as such.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company or similar payment in connection with the transactions contemplated hereby Transactions based upon arrangements made by or and on behalf of such StockholderHoldings or any of its respective Affiliates for which any SELLER or any Company may become liable.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person is entitled to any brokeragebroker's, finder’s's, financial advisor’s 's or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthe Company.

No broker, finder, financial advisor, investment banker or other Person person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company Parent in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokeragebroker’s, finder’s, agent’s commissions, financial advisor’s or other similar investment banker’s fee or commission from the Company or similar payment in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthis Agreement.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthe Company or any of its stockholders.

No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such StockholderParent or Merger Sub.

Brokers. No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company or similar payment in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or and on behalf of such StockholderBuyer or any of its respective Affiliates for which Seller or the Company may become liable.

Brokers. No broker, finder, finder or financial advisor, investment banker advisor or other Person is entitled to any brokeragebrokerage fees, finder’scommissions, finders' fees or financial advisor’s or other similar fee or commission from the Company advisory fees in connection with the transactions contemplated hereby based upon arrangements made by reason of any action taken by Buyer Parent or on behalf Buyer or any of such Stockholdertheir respective directors, officers, employees, representatives or agents.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement or the other Transaction Documents based upon arrangements made by or on behalf of such StockholderNational General or any Affiliate.

Brokers. No broker, finder, financial advisor, finder, investment banker or other Person is entitled to any brokerage, finderbroker’s, financial advisor’s, finder’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderthe Company Group.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker adviser or other Person is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderany of the Company or BEM.

Brokers. No broker, finderinvestment banker, financial advisor, investment banker advisor or other Person Person, is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the Transaction or any other transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such StockholderBuyer for which the Company or Seller could have any liability.

Brokers. No broker, finder, financial advisor, investment banker banker, or other Person is entitled to any brokerage, finder’s, financial advisor’s ’s, or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such StockholderStockholder in its capacity as such.

No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of such Stockholderthe Company or the Subsidiary.

No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company or similar payment in connection with the transactions contemplated hereby Transactions based upon arrangements made by or and on behalf of such Stockholdereither Parent or Merger Sub or any of their respective Affiliates, in each case for which any Company Stockholders or any Group Company may become liable.

No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such a Stockholder.

No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made by by, or to the knowledge of such Shareholder, on behalf of such StockholderShareholder.

No broker, finder, financial advisor, investment banker or other Person is entitled to any brokerage, finder’s's, financial advisor’s 's or other similar fee or commission from Parent, Purchaser or the Company in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

No broker, finder, financial advisor, investment banker or other Person person is entitled to any brokerage, finder’s, financial advisor’s 's or other similar fee or commission from the Company in connection with the transactions contemplated hereby based upon arrangements made execution and delivery of this Agreement by such Stockholder or on behalf the performance by such Stockholder of such Stockholderits or his obligations hereunder.

No broker, finder, financial advisor, advisor or investment banker or other Person is entitled to any brokerage, finder’s, financial advisor’s or other similar investment banker’s fee or commission from the Company or similar payment in connection with the transactions contemplated hereby Transactions based upon arrangements made by or and on behalf of such StockholderBuyer or any of its Affiliates for which the Seller or any Group Company may become liable.
