Broad Form Property Damage. The Service Provider will take out and keep in force Commercial Automotive Insurance, for a limit of not less than $2,000,000. The Service Provider shall, at all times, defend, indemnify and save harmless the Municipality and its subcontractors, consultants, agents, officers, directors and employees from and against all claims, damages, losses and expenses, including but not limited to attorneys' fees, court and arbitration costs, arising out of or resulting from the Service Provider, inclusive of claims made by third parties, or any claims against the Municipality arising from the acts, errors or omissions of the Municipality, its employees, agents, contractors and subcontractors. Such indemnification shall not apply to the extent such claims, damages, losses or expenses are finally determined to result from the Municipality’s negligence. This indemnity shall be in addition to and not in lieu of any insurance to be provided by the Service Provider, in accordance with this Agreement, and shall survive this Agreement.

This insurance shall be maintained continuously from commencement of the work until the final certificate for payment is issued, plus with respect to completed operations, cover a further period of twenty-four (24) months from the date of final certificate for payment.

The comprehensive general liability insurance shall be written on an “occurrence” basis (rather than a “claims made” basis) in a form at least as broad as the most current version of the Insurance Service Office commercial general liability occurrence policy form. If occurrence coverage is not obtainable, Contractor must arrange for “tail coverage” on a claim made policy to protect City from claims filed within four years after the expiration or earlier termination of this Agreement relating to incidents that occurred prior to such expiration or termination.

Further, all such policies must not contain any exclusion for work for or at a common interest development, any insured versus insured exclusion or a contractor’s condition endorsement.
