Broad Form Property Damage. The Service Provider will take out and keep in force Commercial Automotive Insurance, for a limit of not less than $2,000,000. The Service Provider shall, at all times, defend, indemnify and save harmless the Municipality and its subcontractors, consultants, agents, officers, directors and employees from and against all claims, damages, losses and expenses, including but not limited to attorneys' fees, court and arbitration costs, arising out of or resulting from the Service Provider, inclusive of claims made by third parties, or any claims against the Municipality arising from the acts, errors or omissions of the Municipality, its employees, agents, contractors and subcontractors. Such indemnification shall not apply to the extent such claims, damages, losses or expenses are finally determined to result from the Municipality’s negligence. This indemnity shall be in addition to and not in lieu of any insurance to be provided by the Service Provider, in accordance with this Agreement, and shall survive this Agreement.
