Breach by Business Associate. If Covered Entity knows of a pattern of activity or practice of Business Associate that constitutes a material breach or violation of Business Associate’s obligations under this BA Agreement, then Covered Entity shall promptly notify Business Associate. With respect to such breach or violation, Business Associate shall take reasonable steps to cure such breach or end such violation, if possible. If such steps are either not possible or are unsuccessful, upon written notice to Business Associate, Covered Entity may terminate its relationship with Business Associate.

Breach by Business Associate. If the Business Associate breaches a material obligation of this Agreement or fails to comply with the Privacy Rule or the HITECH Act, the IHS will give the Business Associate an opportunity to cure the breach, but if the Business Associate fails to cure the breach, the IHS will terminate the Agreement, as provided in [insert Contract termination for default clause] of the Contract. If, in the determination of the IHS Contracting Officer, neither cure nor termination is feasible, the IHS shall report the material breach to the Secretary. Termination of this Agreement shall not affect any provision of this Agreement which, by its wording or nature, is intended to remain in effect and continue to operate in the event of termination. Termination of the Contract between the parties will result in the termination of this Agreement.
