Branch Employees. Branch employees shall work a five (5) day, forty (40) hour week with two consecutive days of rest. Normal hours of work shall fall between the hours of 8:00 am and 5:00 pm, Monday through Friday. Management reserves the right to alter starting times of employees who usually work normal hours when the needs of the operation dictate and to require employees who usually work Monday through Friday to work Saturday or Sunday. One (1) month’s notice to the employee shall be required when management requires an employee to work Sunday. Management also reserves the right to fix shifts in accordance with the needs of the operation but where fixed shift arrangements other than 4:00 p.m. to 12 midnight and 12 midnight to 8:00 a.m., are to be entered into for a period in excess of one (1) week, the Union Office in Regina shall be notified. Overtime shall be paid to Branch employees at one and one-half (1½) times the normal rate for the ninth (9th) through the eleventh (11th) hours worked in any one day and at two (2) times the normal rate for the twelfth (12th) and subsequent hours worked in any one day. Branch employees required to work on their first and/or second day of rest shall be paid at the rate of one and one-half (1½) times the normal rate for the first three (3) hours and at two (2) times the normal rate for the fourth (4th) and subsequent hours so worked. Branch Employees. No employee at the Branch Office as of the Closing Date (each, a “Branch Employee” and collectively, the “Branch Employees”) is a party to any collective bargaining, employment, severance, termination, or change of control agreement or is represented by a labor organization of any type other than Seller’s established terms of employment and severance policies. Seller is unaware of any efforts during the past three years to unionize or organize the employees of the Branch Office. No Branch Employee is a party to any employment contract, formal or informal, oral or written, or is represented under any collective bargaining agreement relating to employment with Seller. Seller has not adopted and is not subject to any obligations under any affirmative action plan or similar programs or arrangements with respect to any Branch Employee. Except to the extent a Branch Employee has not executed an Employee Consent (as defined in Section 6.04(c)), Seller has disclosed, or shall disclose, to Buyer any Branch Employee who is subject to any probation, performance plan or similar disciplinary action and the circumstances thereof. Schedule 3.18 hereto contains a complete and accurate list of all Branch Employees and includes: (i) the amounts of all accrued leave (including vacation and sick leave) and such amounts expected to be accrued as of the Closing Date; (ii) the date of hire, position, present salary or level of compensation, and announced termination date (if any) for each Branch Employee; and (iii) each lending, insurance and other license currently in effect for each Branch Employee and its expiration date.
Branch Employees. The seller agrees to use its best efforts to assist the Buyer in retaining the services of all of the Branch employees the Buyer desires to retain pursuant to Section 4.2.4 and the Seller shall not compete with the Buyer for those Branch employees; provided, however, nothing contained herein shall preclude a Branch employee from requesting the Seller to continue his or her employment with the Seller.
Branch Employees. The Buyer agrees to use its best efforts to retain all the employees of the Branch as listed on Exhibit F attached hereto and agrees to notify the Seller ten (10) Business Days prior to the Closing of any employees the Buyer will not employ; provided, however, that nothing contained herein shall obligate the Buyer to employ any of the Branch employees or preclude the termination of any employee by the Buyer for cause which may include, but is not limited to, Branch staff reduction(s). The Buyer further agrees that all Employees of the Branch hired by the Buyer will be entitled to any and all rights and benefits, and be subject to any and all obligations of any other employee of the Buyer, and for purposes of any existing employee benefit plan of the Buyer, such former employees of Seller retained by the Buyer will be considered employees of the Buyer from the date the employee was employed by the Seller, to the extent permissible under the terms of the Buyer's plan or policy.

Branch Employees. Seller and Purchaser will cooperate in convening a meeting of the Branch Employees to disclose the execution of this Agreement, which meeting will occur no later than three (3) Business Days after the date of this Agreement, and at which Purchaser’s representatives will have an opportunity to discuss Purchaser’s plans for the Branches and the Branch Employees, subject to Seller’s approval of the substance of the discussion, which approval will not be unreasonably withheld.
