Bonus Payments. For each full fiscal year of the Company that begins and ends during the Employment Period, Executive shall be eligible to earn an annual cash bonus (the “Target Annual Bonus”) in such amount as shall be determined by the Compensation Committee of the Board (the “Compensation Committee”) based on the achievement by the Company and the Executive of performance goals established by the Compensation Committee for each such fiscal year; provided, that the Target Annual Bonus shall be between 70% and 140% of Executive’s Base Salary.
