Bona Fide Receivables Sample Clauses

Bona Fide Receivables. Each Receivable is an obligation of an Obligor arising out of a past or current sale or performance by the applicable Originator, in accordance with the terms of the Contract giving rise to such Receivable. The Seller has no knowledge of any fact that should have led it to expect at the time of the initial creation of an interest in any Receivable hereunder that such Receivable would not be paid in full when due except with respect to any Dilution. Each Receivable classified as an “Eligible Receivableby the Seller in any document or report delivered hereunder satisfies the requirements of eligibility contained in the definition of Eligible Receivable.

Bona Fide Receivables. The Seller has no knowledge of any fact which should have led it to expect at the time of the classification of any Receivable as an Eligible Receivable that such Receivable would not be paid in full when due, and each Receivable classified as an Eligible Receivable by the Seller in any document or report delivered under this Agreement satisfies the requirements of eligibility contained in the definition of "Eligible Receivable" set forth in the Credit Agreement. No selection criteria adverse to the Buyer or the Lender have been applied to the Receivables purchased hereunder.

Bona Fide Receivables. Each Receivable of such Seller is or will be an account receivable arising out of such Seller's performance in accordance with the terms of the Contract, if any, giving rise to such Receivable. Such Seller has no knowledge of any fact which should have led it to expect at the time of its classification of any Receivable as an Eligible Receivable hereunder that such Eligible Receivable would not be paid in full when due. Each Receivable sold by it hereunder and designated on a Required Report to be an Eligible Receivable will be, at its respective Payment Date, an Eligible Receivable. The aggregate outstanding Principal Amount of Receivables so sold by it on any Payment Date and so designated as Eligible Receivables is correctly set forth on the Required Report with respect to such Payment Date.

Bona Fide Receivables. Each Receivable is an obligation arising out of the making of a Delinquency Advance by the Seller or a predecessor servicer, in its capacity as a servicer of a portfolio of mortgage loans, pursuant to a Servicing Contract. Each Receivable relates to a Delinquency Advance that has been made in accordance with the terms of the related Servicing Contract. The Seller has no knowledge of any fact that has led it to expect that such Receivable will not be fully recoverable when the related Mortgage Loan is brought current or is liquidated. As of the Cut-off Date, the Seller has not received any Collections or other payments in respect of the Receivables which have not been applied to the Receivables, and each Receivable is an Eligible Receivable.
