Board Structure; Initial Composition Sample Clauses

The 'Board Structure; Initial Composition' clause defines how the company's board of directors is organized and specifies who will initially serve as directors. It typically outlines the total number of board seats, how those seats are allocated among stakeholders (such as founders, investors, or independent members), and may name the individuals or entities entitled to appoint the first directors. This clause ensures clarity and agreement on the governance framework from the outset, preventing disputes over board control and decision-making authority.
