Board of the Purchaser. Triple Flag shall take all necessary actions to ensure that upon completion of the Arrangement, the Triple Flag Board shall consist of nine (9) directors including two (2) current directors of the Company to be identified and agreed upon by the Parties, acting reasonably.

Board of the Purchaser. The Purchaser shall use its commercially reasonable efforts to reconstitute its board of directors to consist of six members, five of which shall be nominees of the Purchaser and one of which shall be the nominee of the Vendors’ Representative which nominee, initially, shall be Xxxxx Xxxxxxxx, unless otherwise agreed and subject to TSXV approval, including clearance of personal information forms and background checks. The Vendors’ Representative and the Purchaser will enter into a side letter agreement (the “Side Letter Agreement”) setting out such right of the Vendors’ Representative to nominate one member to the Purchaser’s board of directors as a condition to closing pursuant to Section 9.6(a)(vii) of this Agreement.
