Blue Sky Survey. The General Partner agrees to cause Mayer, Brown, Xxxx & Maw LLP, counsel to the General Partner, to prepare and deliver to the Selling Agent a Blue Sky Survey which shall set forth the United States jurisdictions in which the Units may be offered and sold. The General Partner agrees to use its best efforts to qualify the Units under the securities or Blue Sky laws of the various state jurisdictions listed in such Blue Sky Survey, and to maintain such qualification during the term of the offering, provided that the General Partner reserves the right to withdraw application for the Units' registration. It is understood and agreed that the Selling Agent may rely, in connection with the offering and sale of Units in any United States jurisdiction, on advice given by Mayer, Brown, Xxxx & Maw LLP as to the legality of the offer or sale of the Units in such jurisdiction.
Blue Sky Survey. On the Closing Date, the Representative shall have received the Blue Sky Survey from R&P.
Blue Sky Survey. The Managing Owner shall cause Sidley Austin Brown & Wood LLP, counsel to the Managing Owner, to prepare xxx xxxxxxx to xxx Selling Agent, after having submitted such Blue Sky Survey to counsel for the Selling Agent for such counsel's review and approval, a Blue Sky Survey which shall set forth the United States jurisdictions in which the Units may be offered and sold. The Managing Owner agrees to use its best efforts to qualify the Units under the securities or Blue Sky laws of the various state jurisdictions, and to maintain such qualification during the term of the offering, provided that the Managing Owner reserves the right to withdraw application for the Units' registration. It is understood and agreed that the Selling Agent (and its Correspondents) may rely, in connection with the offering and sale of Units in any United States jurisdiction, on advice given by Sidley Austin Brown & Wood LLP as to the legality of the offer or sale of xxx Xxxxx xn sxxx jurisdiction.
Blue Sky Survey. The Underwriter shall have received at or prior to the Firm Closing Date from Xxxxx & Xxxx, P.A., a memorandum or survey, in form and substance satisfactory to the Underwriter, with respect to the qualification or exemption for offering and sale by the Underwriter of the Units under the state securities or Blue Sky laws of such jurisdictions as the Underwriter may reasonably have designated to the Company. Such qualification or exemption shall continue in effect to and including the Firm Closing Date and the Option Closing Date.
Blue Sky Survey. The Representatives shall have received at or prior to the Closing Date from Ropes & Xxxx a memorandum or summary, in form and substance satisfactory to the Representatives, with respect to the qualification for offering and sale by the Underwriters of the Shares under the State securities or Blue Sky laws of such jurisdictions as the Representatives may reasonably have designated to the Company.
Blue Sky Survey. The Company has caused counsel to prepare and deliver to the Underwriter a Blue Sky Survey which sets forth, for the guidance of such persons or entities, the United States jurisdictions in which the Shares may be offered and sold. It is understood and agreed that the Underwriter may rely, in connection with the offering and sale of Shares in any United States jurisdiction, on advice given by such counsel as to the legality of the offer or sale of the Shares in such jurisdiction; PROVIDED, HOWEVER, that the Underwriter shall be responsible for compliance with all applicable laws, rules and regulations with respect to the actions of its employees, acting as such, in connection with the sales of Shares in any jurisdiction.
Blue Sky Survey. A copy of the Blue Sky Survey with respect to the

Counsel for the Placement Agent shall survey the blue sky laws of the states designated by the Placement Agent in order to determine the extent to which and the conditions upon which offers and sales of the Units may be made in such states. It is understood that such survey (the "Blue Sky Survey"), which shall be delivered to the Company and the Placement Agent, may be based on or may rely upon (i) the representations of each Subscriber set forth in his or her Subscription Agreement, and (ii) the representations, warranties and agreements of the Company and the Placement Agent set forth in this Agreement.

A., counxxx xo the Managing Member, to prepare and deliver to the Additional Selling Agent, a Blue Sky Survey that shall set forth the United States jurisdictions in which the Units may be offered and sold. The Managing Member agrees to use its best efforts to qualify the Units under the securities or Blue Sky laws of the various state jurisdictions, and to maintain such qualification during the term of the offering, provided that the Managing Member reserves the right to withdraw application for the Units' registration. It is understood and agreed that the Additional Selling Agent may rely, in connection with the offering and sale of Units in any United States jurisdiction, on the survey provided by The Scott Law Firm, P. A., legax xxxnsel to the Fund which shall be in the standard form provided in connection with securities offerings.
