Common use of Blue Sky Qualifications Clause in Contracts

Blue Sky Qualifications. The Company shall take or cause to be taken all necessary action to qualify the Securities for sale under the securities laws of such domestic United States or foreign jurisdictions as you reasonably designate and to continue such qualifications in effect so long as required for the distribution of the Securities, except that the Company shall not be required in connection therewith to qualify as a foreign corporation or to execute a general consent to service of process in any state.

Blue Sky Qualifications. The Company shall take or cause to be taken all necessary action to qualify the Securities for sale under the securities laws of such domestic United States or foreign jurisdictions as you reasonably designate and to continue such qualifications in effect so long as required for the distribution of the Securities, except that the Company shall not be required in connection therewith to qualify as a foreign corporation or to execute a general consent to service of process in any state.

Blue Sky Qualifications. The Company shall take or cause to be taken all necessary action to qualify will arrange for the Securities qualification of the Shares for sale under the securities laws of such domestic United States or foreign jurisdictions as you reasonably designate the Manager designates and to will continue such qualifications in effect so long as required for the distribution of the Securitiesdistribution; provided, except however, that the Company shall will not be required in connection therewith to qualify as a foreign corporation or to execute a general consent to the service of process in under the laws of any statesuch jurisdiction (except service of process with respect to the offering and sale of the Shares).

The Company shall take or cause to be taken all necessary action to qualify will arrange for the qualification of the Offered Securities for sale under the securities laws of such domestic United States or foreign jurisdictions as you reasonably the Representatives designate and to will continue such qualifications in effect so long as required for the distribution of the Securitiesdistribution; provided, except however, that the Company shall not be required in connection therewith obligated to file any general consent to service of process or to qualify as a foreign corporation or to execute as a general consent to service of process dealer in securities in any statejurisdiction in which it is not so qualified or to subject itself to taxation in respect of doing business in any jurisdiction in which it is not otherwise so subject.

Blue Sky Qualifications. The Company shall will promptly from time to time take or cause to be taken all necessary such action as the Representatives may reasonably request to qualify the Securities for offering and sale under the securities laws of such domestic United States or foreign jurisdictions as you reasonably designate the Representatives may request and to continue comply with such qualifications laws so as to permit the sales and dealings therein in effect so such jurisdictions for as long as required for may be necessary to complete the distribution of the Securities, except ; provided that in connection therewith the Company shall not be required in connection therewith to qualify as a foreign corporation or corporation, to execute file a general consent to service of process in any statejurisdiction or to subject itself to taxation in any jurisdiction.

Blue Sky Qualifications. The Company shall take or cause to be taken all necessary action to qualify will arrange for the qualification of the Offered Securities for sale under the securities laws of such domestic United States or foreign jurisdictions as you reasonably the Representatives designate and to will continue such qualifications in effect so long as required for the distribution of the Securitiesdistribution; provided, except however, that the Company shall not be required in connection therewith to qualify or register as a foreign corporation or to execute in any jurisdiction in which it is not so qualified, file a general consent to service of process in any statesuch jurisdiction or take any action that would subject it to taxation in any such jurisdiction where it is not then so subject.

The Company shall take will use its best efforts, in cooperation with you and your counsel, to register or cause to be taken all necessary action to qualify the Securities for offering and sale under the securities laws of such domestic United States or foreign jurisdictions as you reasonably designate designate, and to will continue such qualifications in effect for so long as required for may be necessary to complete the distribution of the such Securities, except ; provided that in no event shall the Company shall not be required in connection therewith to qualify as a foreign corporation to do business in any jurisdiction where it is not now so qualified or to execute a take any action which would subject it to general consent to service of process in any statejurisdiction where it is not now so subject.

Blue Sky Qualifications.
