Common use of Blue Sky Qualification Clause in Contracts

Blue Sky Qualification. The purchase of Notes under this Agreement is expressly conditioned upon the exemption from qualification of the offer and sale of the Notes from applicable federal and state securities laws. The Company shall not be required to qualify this transaction under the securities laws of any jurisdiction and, should qualification be necessary, the Company shall be released from any and all obligations to maintain its offer, and may rescind any sale contracted, in the jurisdiction.

The Company shall not be required to qualify this transaction under the securities laws as a foreign corporation or execute a general consent to service of process in any jurisdiction and, should qualification or execution of a general consent be necessary, the Company shall be released from any and all obligations to maintain its offer, and may rescind any sale contracted, in the jurisdiction.

Blue Sky Qualification. The purchase of Notes under this Subscription Agreement is and the issuance of the Conversion Shares upon the due conversion of the Notes are all expressly conditioned upon the exemption from qualification of the offer and sale of the Notes thereof, as applicable, from applicable federal and state securities laws. The Company shall not be required to qualify this transaction the Offering or any issuance of Conversion Shares under the securities laws of any jurisdiction and, should qualification be necessary, the Company shall be released from any and all obligations to maintain its offer, and may rescind any sale contracted, in the jurisdiction.

Blue Sky Qualification.
