Common use of Binding Nature and Assignment Clause in Contracts

Binding Nature and Assignment. Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other, save that a party shall not unreasonably withhold its consent to the assignment or delegation by the other of its rights and/or obligations to a majority-owned subsidiary of that party, provided that it is satisfied that such subsidiary has the financial and other resources in order properly to perform that party’s obligations

Binding Nature and Assignment. Neither party may assign assign, voluntarily or delegate by operation of law, any of its rights or obligations under this Agreement without the prior written consent of the other, save that other party. No assignment by a party shall not unreasonably withhold its consent to the assignment or delegation by the other will relieve such party of its rights and/or and obligations under this Agreement. Subject to a majority-owned subsidiary of that partythe foregoing, provided that it is satisfied that such subsidiary has this Agreement will be binding on the financial Parties and other resources in order properly to perform that party’s obligationstheir respective successors and assigns.
