Common use of Benefits Clause in Contracts

Benefits. Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Company.

Benefits. The Executive shall shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs, that may be in effect from time to time and made available to the Company’s employee benefits planssenior management employees, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its those benefit plans, as with all other plans and programs of the Company.

Benefits. The Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans programs and programs arrangements of the Company, as in effect from time to time (including, without limitation, medical and dental insurance and a 401(k) plan).

Benefits. Executive shall be eligible to participate in or receive benefits under any group health or other executive benefit plan or arrangement made available by the Company’s employee benefits plansCompany to its senior executive officers, subject to and on a basis consistent with the terms terms, conditions and conditions overall administration of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other such plans and programs of the Companyarrangements.

Benefits. Executive shall be eligible to may participate in the Company’s all medical, dental and disability insurance, 401(k), personal leave and other employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the CompanyCompany for which Executive is eligible, provided, however, that Executive’s participation in benefit plans and programs is subject to the applicable terms, conditions and eligibility requirements of these plans and programs, some of which are within the plan administrator’s discretion, as they may exist from time to time. The Company shall pay annual dues and expenses for Executive’s membership and participation in such professional organizations as may be approved by the Board.

Benefits. Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement that may be in effect from time to time and subject made available to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companysenior management employees.

Benefits. Executive shall be eligible entitled to receive such benefits and to participate in the Company’s such employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its group benefit plans, including life, health and disability insurance policies, and financial planning services, and other perquisites and plans as are generally provided by the Company to its senior executives of comparable level and responsibility in accordance with all other plans the plans, practices and programs of the Company, as amended from time to time; provided that, Executive shall not participate in any severance plan of the Company.

Benefits. Executive shall be eligible entitled to receive such benefits and to participate in the Company’s such employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its group benefit plans, including life, health and disability insurance policies, and financial planning services, and other perquisites and plans as are generally provided by the Company to its senior executives of comparable level and responsibility in accordance with all other plans the plans, practices and programs of the Company, as amended from time to time.

Benefits. In addition, the Executive shall be eligible for paid vacation, in accordance with Company policy as in effect from time to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companytime.

Benefits. The Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in benefits under any executive benefit plan or arrangement which may be in effect from time to time and subject made available to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any 's executive or all of its benefit plans, as with all other plans and programs of the Companykey management employees.

Benefits. The Executive shall be eligible to participate in and receive the Company’s benefits under any deferred compensation plan, health, life, accident and disability insurance plans or programs, relocation programs and any other employee benefits plans, subject benefit or fringe benefit plans or arrangements that the Company makes available generally to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs senior executives of the Company, pursuant to the provisions of such plans or arrangements as in effect from time to time.

Benefits. The Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans programs and programs arrangements of the Company, as in effect from time to time (including, without limitation, medical and dental insurance and a 401(k) plan).

Benefits. Benefits. During the Term, the Executive shall be eligible entitled to participate in all employee benefit plans that are generally made available to other employees of the Company’s employee benefits plans, subject to the terms and conditions of such benefits and plans and, as such benefits and plans may be changed by the applicable plan documentsCompany from time to time. Such benefits include, but not limited to, (i) group medical insurance coverage, (ii) group life insurance coverage and (iii) certain stock option plans. The Company reserves the right to amend or terminate any employee benefit plans at any time in its sole discretion, subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all terms of its such employee benefit plans, as with all other plans plan and programs of the Companyapplicable law.

Benefits. During the Term, the Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans programs and programs arrangements of the Company, as in effect from time to time (such plans may include health care, dental, vision, prescription, flexible spending, short-term and long-term disability, life insurance and 401(k) plans, programs and arrangements).

Benefits. During the employment, Executive shall be eligible to participate in the Company’s employee comprehensive benefits plansplans of the Company from time to time, which includes medical, dental and life insurance options subject to the plan terms and conditions generally applicable Company policies. A full description of the applicable plan documents, these benefits is available upon request. The Company may change compensation and subject benefits from time to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of time in its benefit plans, as with all other plans and programs of the Companydiscretion.

Benefits. Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement that may be in effect from time to time and subject made available to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companyexecutive level employees.

Benefits. The Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including any 401(k) plan with Company matching, disability insurance plan and subject life insurance plan, that may be in effect from time to time and made available to the Company’s right to amendsenior management employees, terminate, increase costs and/or take other similar action including with respect to additional coverage for spouses, domestic partners and eligible dependents. Notwithstanding the foregoing, the Executive shall not be entitled to participate in any Company severance plan or all of its benefit plans, program except as with all other plans and programs of the Companyset forth in Section 4.5.

Benefits. The Executive shall be eligible entitled to participate in all employee benefit plans which the Company’s employee benefits plans, subject Company provides or may establish from time to time for the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all benefit of its benefit plansemployees, as with all including, without limitation, group life, medical, surgical, dental and other plans health insurance, short and programs of the Companylong-term disability, deferred compensation, profit-sharing, paid vacation and similar benefits.

Benefits. Executive shall shall, in accordance with Company policies and the terms of applicable plan documents, be eligible to participate in the Company’s employee benefits plans, subject under any executive benefit plan or arrangement which may be in effect from time to the terms time and conditions of the applicable plan documents, and subject made available to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any its executive or all of key management employees. Company may modify or cancel its benefit plans, plan(s) as with all other plans and programs of the Companyit deems necessary.

Benefits. The Executive shall be eligible entitled to receive such benefits and to participate in the Company’s such employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its group benefit plans, including life, health and disability insurance policies, as are generally provided by the Company to its senior executives in accordance with all other plans the plans, practices and programs of the Company.

Benefits. The Executive shall be eligible to participate in and receive the Company’s benefits under any deferred compensation plan, health, life, accident and disability insurance plans or programs and any other employee benefits plans, subject benefit or fringe benefit plans or arrangements that the Company makes available generally to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs senior executives of the Company, pursuant to the provisions of such plans or arrangements as in effect from time to time.

Benefits. The Executive shall be eligible entitled to participate in the Company’s employee benefits planssuch benefit plans including, subject to the terms without limitation, any and conditions of the applicable plan documentsall retirement, disability, group life, sickness, accident, vision, dental, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit planshealth insurance programs, as with all other plans and programs of the CompanyCompany may provide from time to time to its employees generally.

Benefits. The Executive shall will also be eligible entitled to participate in any and all Company benefit plans, from time to time, in effect for employees of the Company’s employee benefits plans, . Such participation will be subject to the terms and conditions of the applicable plan documents, documents and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companygenerally applicable Company policies.

Benefits. The Executive shall shall, in accordance with Company policy and the terms of the applicable plan documents, be eligible to participate in benefits under any executive benefit plan or arrangement which may be in effect from time to time and made available to the Company’s employee benefits plansexecutives or key management employees, including unlimited Paid Time Off subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right PTO Policy. Executive acknowledges that the benefits offered by the Company may change from time to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companytime.

Benefits. During the Term, Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all programs and arrangements of the Company (including medical, dental, vision, life insurance, disability insurance and defined contribution 401(k) plan) made available to other plans and programs similarly-situated employees of the Company, consistent with the terms thereof and as such plans, programs and arrangements may be amended from time to time.

Benefits. Executive shall be eligible to participate in such benefit plans as are, or from time-to-time hereafter may be, provided by the Company’s employee Company for its senior executive officers. All benefits plans, subject shall be provided to Executive in accordance with the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its such benefit plans, as with all other plans and programs of as are maintained by the Company, as such plans are amended from time to time.

Benefits. The Executive shall will be eligible to participate in the employee benefit plans generally available to the Company’s employee benefits plansexecutives including, without limitation, medical, dental, vision, disability, life insurance, 401k plan and membership fees for professional organizations, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit planseach respective plan, as with all other plans and programs of amended (collectively, the Company“Benefits”).

Benefits. During the Term of this Agreement, Executive shall be eligible entitled to participate in any employee benefit plan or program established by the Company’s employee benefits plansCompany for its senior executives or other employees including, subject to the terms and conditions of the applicable plan documentsbut not limited to, and subject to the Company’s right to amendmedical, terminateprescription, increase costs and/or take dental, disability, life, accidental death or other similar action with respect to any or all of its benefit plans, as with all other insurance plans and programs of the Companyany deferred compensation or retirement plan or program.

Benefits. Executive shall shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in the Company’s employee benefits plans, subject under any benefit plan or arrangement that may be in effect from time to the terms time and conditions of the applicable plan documents, and subject made available to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companysenior management employees.

Benefits. The Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in benefits under any executive benefit plan or arrangement which may be in effect from time to time and subject made available to the Company’s right to amendexecutive or key management employees, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of including but not limited to: the Company’s Change in Control Employee Severance Benefit Plan, Deferred Compensation Plan, 401K Savings Plan, Employee Stock Purchase Plan, group health insurance, disability insurance, life insurance, and paid personal leave.

Benefits. Executive shall be eligible entitled to participate in all employee benefit plans maintained by the Company for its senior executives or employees including, without limitation, the Company’s employee benefits plans's medical, subject to the terms dental, vision, 401(k) and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other life insurance plans and programs of the Company.following benefits:

Benefits. The Executive shall be eligible entitled to participate in the Company’s employee benefits planssuch benefit plans including, subject to the terms without limitation, any and conditions of the applicable plan documentsall retirement, disability, group life, sickness, accident, vision, dental, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit planshealth insurance programs, as the Company may provide from time to time to its employees generally. The Executive shall be allowed to enroll in the health insurance benefits provided by the Company on the first day of Executive’s employment with all other plans and programs of the Company.

Benefits. Executive shall shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, 401(k), pension, disability and life insurance programs, that may be in effect from time to time and made available to the Company’s employee benefits planssenior management employees, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its those benefit plans, as with all other plans and programs of the Company.

Benefits. The Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in health, life, dental and subject disability benefits under any executive benefit plan or arrangement which may be in effect from time to time and made available to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any 's executive or all of its benefit plans, as with all other plans and programs of the Companykey management employees.

Benefits. Executive shall be eligible to participate in the Company’s employee benefits plansbenefit plans made generally available to similarly situated employees of the Company, subject including group medical, life and disability insurance, and retirement programs. Executive’s eligibility to participate in the Company’s benefit plans shall be in accordance with the terms and conditions of the applicable benefit plans established by the Company or the governing plan documents, and subject which may be amended from time to time in the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companysole discretion.

Benefits. The Executive shall be eligible to participate in any employee benefit or welfare plan, including any life, accident, medical insurance, retirement or pension plan or program maintained or which shall be maintained from time to time during the Company’s employee benefits plansTerm by the Company for its employees or executive employees and their immediate families, subject to on the terms and conditions of the applicable plan documents, same basis and subject to the Company’s right same requirements and limitations as are or shall be applicable to amend, terminate, increase costs and/or take other similar action with respect to any employees or all of its benefit plans, as with all other plans and programs executive employees of the Company.

Benefits. Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans programs and programs arrangements of the Company, as in effect from time to time (which may include, without limitation, health care, dental, vision, prescription, flexible spending, short-term and long-term disability, life insurance and 401(k) plans, programs and arrangements).

Benefits. The Executive shall be eligible to participate in the Company’s employee benefits plansbenefit plans (Medical and Dental, Group Term Life, Short and Long Term Disability, and 401k) on the same basis as the Company’s comparably situated executive employees, subject to the terms and conditions requirements of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit respective plans, as with all other plans and programs of the Company.

Benefits. Executive shall be eligible to participate in employee benefit plans, programs and arrangements of the Company, as in effect from time to time (including, without limitation, the Company’s employee benefits plans, subject to the terms group medical and conditions of the applicable plan documents, dental insurance plans and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Company401(k) plan).

Benefits. The Executive shall be eligible afforded the opportunity to participate in all benefit plans established by the Company through which the Company’s employee benefits plans's employees have been, subject or shall be, afforded the opportunity to the terms and conditions of the applicable plan documentspurchase, and subject to the Company’s right to amendor otherwise receive, terminateany life insurance, increase costs health insurance, hospitalization, disability, stock option and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companyfringe benefits.

Such plans and programs of the Companyshall have international coverage.

Benefits. Executive shall be eligible entitled to receive such benefits and to participate in the Company’s such employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its group benefit plans, including life, health and disability insurance policies, and other perquisites plans, including the Company's 1999 Senior Executive Perquisite Plan, as are generally provided by the Company to its senior executives of comparable level and responsibility in accordance with all other plans the plans, practices and programs of the Company.

Benefits. During the Term, the Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans programs and programs arrangements of the Company, as in effect from time to time. Such plans may include, without limitation, health care, dental, vision, prescription, flexible spending, short-term and long-term disability, life insurance and 401(k) plans, programs and arrangements.

Benefits. The Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including any 401K plan with Company matching, disability insurance plan and subject life insurance plan, that may be in effect from time to time and made available to the Company’s right to amendsenior management employees, terminate, increase costs and/or take other similar action including with respect to any or all of its benefit plansadditional coverage for spouses, as with all other plans domestic partners and programs of the Companyeligible dependents.

Benefits. Executive shall be eligible to participate shall, in the Company’s employee benefits plans, subject to accordance with Company policy and the terms and conditions of the applicable plan documents, be eligible to participate in benefits under any Company benefit plan or arrangement which may be in effect from time to time and subject made available to its executive management employees. The terms and conditions of Executive’s participation in such plans shall be set forth in the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its relevant benefit plans, as with all other plans and programs of the Companyplan documents.

Benefits. Executive shall be eligible Subject to participate and in the Company’s employee benefits plans, subject to accordance with the terms and conditions of the Company’s applicable plan documentsdocuments in force from time to time and applicable law, and subject Executive will be eligible to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or participate in all of its employee benefit plans, as with all other plans programs and arrangements (including, without limitation, any plans, programs of and arrangements providing for retirement benefits, disability benefits, health and life insurance, vacation and paid holidays) that the CompanyCompany makes available to its similarly situated executives generally.

Benefits. The Executive shall shall, in accordance with Company policy and the applicable plan documents, be eligible to participate in benefits under any benefit plan or arrangement, including medical, dental, vision, disability and life insurance programs that may be in effect from time to time and made available to the Company’s employee benefits planssenior management employees, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its those benefit plans, as with all other plans and programs of the Company.

Executive shall be eligible entitled to receive such benefits and to participate in the Company’s such employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its group benefit plans, including life, health and disability insurance policies, and financial planning services, and other perquisites plans as are generally provided by the Company to its senior executives of comparable level and responsibility in accordance with all other plans the plans, practices and programs of the Company, as amended from time to time.

Benefits. Executive shall be eligible to participate in all employee benefit plans including, but not limited to: bonus; retirement; medical, dental, life and other insurance; vacation; sick leave; holiday; and other benefit plans that are provided by the Company’s Company to its senior management personnel, in accordance with their terms as in effect from time to time. The Company reserves the right to amend or cancel any employee benefits plansbenefit plans at any time in its sole discretion, subject to the terms of such employee benefit plan and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, as with all other plans and programs of the Companylaw.

Executive shall be provided with financial planning services as per Company practice for senior executives.

The Executive shall be eligible to participate in the Company’s employee benefits plans, subject to the terms and conditions of the applicable plan documents, and subject to the Company’s right to amend, terminate, increase costs and/or take other similar action with respect to any or all of its benefit plans, programs and arrangements of the Company, as with all other in effect from time to time (such plans may include health care, dental, vision, prescription, flexible spending, short-term and long-term disability, life insurance and 401(k) plans, programs and arrangements). Executive will be immediately eligible for such benefits to the extent possible under the particular plans, programs and arrangements of the Company.
