Common use of Benefits Acknowledged Clause in Contracts

Benefits Acknowledged. The Guarantors’ Guarantee is subject to the terms and conditions set forth in the Indenture. The Guarantors acknowledge that they shall receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.

Benefits Acknowledged. The Guarantors’ Each Guarantor’s Guarantee is subject to the terms and conditions set forth in the Indenture. The Guarantors acknowledge Parent Guarantor acknowledges that they shall it will receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.

The Guarantors acknowledge Each Time Guarantor acknowledges that they shall it will receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.

The Guarantors acknowledge Guaranteeing Subsidiary acknowledges that they it shall receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.

The Guarantors acknowledge Each Additional Guarantor acknowledges that they shall it will receive direct and indirect benefits from the financing arrangements contemplated by the Base Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.
