Baseline Adjustment Sample Clauses

Baseline Adjustment. The Baseline conditions set forth in Part 4 of this Agreement may, by mutual agreement of the Parties, be adjusted if, during the term of the Agreement and for reasons beyond the control of the District, the utilization of the Enrolled Property by the Covered Species or the quantity or quality of habitat suitable for or occupied by the Covered Species is reduced from that present at the time the Agreement was negotiated.

Baseline Adjustment. The Monthly Resource Baseline for which a variance exists between (a) the Monthly Resource Baseline shown on Attachment 4-D (Resource Baselines) for CPU Hours and Server InstancesService Tier Matrix Resource Units and (b) the DIR Customersactual usage of Resource Units in respect of such CPU Hours and Server Instances – Service Tier Matrix Resource Unit as of the Commencement Date, the original projected Monthly Resource Baseline for each Contract Year shall be increased or decreased (as applicable) in the aggregate (i.e. preserving the original trends over time of increase or decrease in consumption) by the amount of such variance. For clarification, if a Resource Unit Category was originally projected to have volume changes over the Term, then the baseline adjustment due to True-Up should preserve those projected variations.
Baseline Adjustment. Unforeseen circumstances could involve habitat impacts resulting from catastrophic (force majeure) events such as hurricanes, flash floods, severe drought, lethal forest fires, or insect/disease epidemics. Such events are beyond the reasonable control of the Cooperator, and did not occur through fault or negligence, including but not limited to “acts of God” or sudden actions of the elements such as those described above. Such catastrophes could either locally destroy the species population or render the habitat unsuitable, thereby reducing population numbers or occupied acreage below the original baseline conditions. For such circumstances beyond the control of the Cooperator, the Cooperative Agreement could be terminated, or NDOW and the Service could agree to revise the baseline conditions to reflect the new circumstances.

Baseline Adjustment. If ENGIE Services U.S. proposes changes to the Facilities that would not unreasonably interfere with the conduct of District’s business or cause District to incur additional costs, and District does not consent to the changes, then ENGIE Services U.S. will adjust the Baselines upward by the amount of savings projected from the changes.

Such events are beyond the reasonable control of, and would not occur through the fault or negligence of the Cooperator. For such circumstances beyond the control of the Cooperator, the Parties may agree to revise the Agreement’s baseline conditions to reflect the new circumstances, rather than terminate the Agreement.

Loss of Baseline Groups In spite of management and protection efforts, there may be circumstances, through no fault of the Cooperator, where groups that gave rise to the Cooperator’s baseline responsibilities cease to exist on the enrolled property. If RCW baseline groups cease to exist on the enrolled property, the Cooperator will not be held accountable for the loss of the RCW baseline groups provided each of the following have occurred:
