Award Conditions. (a) Notwithstanding anything in the Plan or this Agreement to the contrary, to the extent that either (i) the Administrator or the Board of Governors of the Federal Reserve System determines that any change to the Plan and/or this Agreement is required, necessary, advisable, or deemed appropriate to improve the risk sensitivity of the Award, whether by (a) adjusting the Award quantitatively or judgmentally based on the risk the Participant’s activities pose to TFC or an Affiliate; (b) extending the Performance Period for determining the Award; (c) extending the Performance Period and adjusting for actual losses or other performance issues; or (d) otherwise as required by the Administrator or the Federal Reserve System; or (ii) the Administrator or the United States government (including, without limiting any agency thereof) determines that any change to the Plan and/or this Agreement is required, necessary, advisable, or deemed appropriate to comply with any applicable law, regulation, or requirement; then this Agreement and/or the Award shall be automatically amended to incorporate such change, without further action of the Participant, and the Administrator shall provide the Participant notice thereof.
(b) Notwithstanding anything contained in the Plan or this Agreement to the contrary, to the extent that either the Administrator or the United States government (including, without limitation, any agency thereof) determines that the Award granted to the Participant pursuant to this Agreement is prohibited or substantially restricted by, or subjects TFC or an Affiliate to any adverse tax consequences that TFC or an Affiliate is not otherwise subject to on the Grant Date because of, any current or future United States law, any rule, regulation, or other authority, then this Agreement shall automatically terminate effective as of the Grant Date and the Award shall automatically be cancelled as of the Grant Date without further action on the part of the Administrator or the Participant and without any compensation to the Participant for such termination and cancellation. The Administrator agrees to provide notice to the Participant of any such termination and cancellation.
Award Conditions. This ITB and any bid submitted in response, regardless of whether the bid is determined to be the lowest cost, is not binding upon the Department and does not obligate the Department to procure or contract for any services. Neither the Department nor any party submitting a bid will be bound unless and until the bid is mutually accepted by both parties. The Department will issue a Notice of Award announcing the Department’s selection. The Department will issue a Purchase Order to the awarded Contractor which will represent Department’s acceptance of the Contractor’s bid.

Award Conditions. The City reserves the unqualified right to award by item(s) unless otherwise stipulated, to waive any irregularity in any bid or to reject any and all bids when, in the judgment of the City, the best interest of the City will be served. The award of a Contract will not be made to any Supplier who is in arrears in City taxes. Article V, Chapter 18 of the Detroit City Code, forbids the award of any contract to person(s) who are in arrears of City real estate, personal property and/or income taxes. Any course(s), material(s), program(s), service(s), and/or any other product(s) developed under the terms of this Faculty Incentive Pay Project become the sole property of Southern West Virginia Community and Technical College and any and all individual intellectual and/or other proprietary rights or claims of the faculty member are waived.

The following protected award conditions are expressly excluded unless modified throughout the agreement: • Incentive based payments and bonuses, • Annual leave loadings, • Days to be substituted for public holidays, • Loadings for shift work, • Outworker conditions, • Other conditions as prescribed by regulation, • And monetary allowances for: - expenses incurred in the course of employment - responsibilities or skills that are not taken into account in rates of pay for Champs - disabilities associated with the performance of work in particular conditions or locations
Award Conditions. The vesting and settlement of the Performance Stock Units shall be subject to the occurrence of both of the following events: (i) the Notes Exchange Final Closing occurring on or prior to February 15, 2026, and (ii) the approval of the amendment and restatement of the Plan approved by the Board effective as of the Date of Grant by the Company’s stockholders on or prior to February 15, 2026 (the “Award Conditions”). The Grantee agrees and consents to the following conditions of the grant: If applicable, Grantee has provided HRiA with verification of the Grantee's public charity status under Sections 501(c)(3) of the Internal Revenue Code of 1986, as amended (the "Code"), and agrees to notify the HRiA of any change in the Grantee's status. Grantee will use the grant exclusively for the purposes and objectives specified in the approved scope of work and in the proposal submitted to HRiA, and Grantee acknowledges no goods or services, or benefits have been or will be provided by Grantee to HRiA. Grantee will be awarded a Summer Camp Grant of an amount to be determined upon notification of award. Any additional costs and expenses needed to complete ▇▇▇▇▇▇▇’s participation in the Project will be the sole responsibility of Grantee. In any event, no disbursement will be made until Grantee has provided HRiA with a signed IRS Form W-9. HRiA will not reimburse for expenses after the end of the contract period. Grantee shall provide to HRiA any records relevant to the Project that HRiA requests. ▇▇▇▇▇▇▇ is responsible for the oversight of subcontractors and partners involved in the approved workplan and budget. ▇▇▇▇▇▇▇ agrees to regular communication with ▇▇▇▇, and regular review of progress being made. Unsatisfactory reviews or actions not in accordance with the grant agreement may result in probationary periods and/or termination of the award. With the exception of subcontractors identified in the approved workplan and budget, Grantee shall not, under any circumstance, transfer, assign or encumber any portion of the grant. The Grantee agrees that the grant funds will not be expended, transferred, or used for any purpose or in any fashion that is prohibited by an applicable law of the United States or of any domestic or foreign jurisdiction, including without limitation, applicable laws proscribing the support of terrorism or terrorist organizations.
