AVERAGE INCOME. If the Average Income is less than $90 per phone then the Consideration shall be reduced by multiplying (A) the amount calculated pursuant to Section 1.2(a) (as adjusted by Section 1.4(a), (b) and (c) by (B) a fraction, the numerator of which will be the Average Income and the denominator of which will be 90.

  • Consolidated Net Leverage Ratio Permit the Consolidated Net Leverage Ratio as of the end of any fiscal quarter of the Borrower to be greater than 4.50:1.00.
