Average Annual Salary. “Average Annual Salary” means the wages paid to full- time employees as regular, overtime, vacation, sick, premium overtime, or gain share (bonus). It does not include any payroll taxes paid by the employee or employer nor does it include any retirement or health/life insurance contributions by the employee or employer.

Average Annual Salary. For purposes of computing the Executive's benefits hereunder, his "average annual salary" shall mean the average of his annual Base Salary plus annual awards to the Executive under the Company's Annual Incentive Plan from the Company for the 36 consecutive calendar months during which his compensation is the highest in the 60-calendar month period ending on the date his employment with the Company terminates (or, if employed by the Company for fewer than 60 months, the average for the 36 consecutive calendar months during which his compensation is the highest in his full period of employment with the Company). If the Executive's period of employment with the Company is less than 36 months, Executive's average annual salary shall be based on his full period of employment with the Company. Notwithstanding the foregoing or anything in this Agreement to the contrary, average annual salary shall include amounts, if any, the Executive elects to defer as salary deferral contributions to the Company's Retirement Savings Plan but shall exclude:

  • Average Annual Compensation The Executive's "Average Annual Compensation" for purposes of this Agreement shall be deemed to mean the average level of compensation paid to the Executive by the Employers or any subsidiary thereof during the most recent five taxable years preceding the Date of Termination, including Base Salary and benefits and bonuses under any employee benefit plans of the Employers.
