Average Annual Bonus. “Average Annual Bonus” shall mean the average of Executive’s three annual Performance Bonuses earned in the three fiscal years prior to the fiscal year in which the Date of Termination occurs.

Average Annual Bonus. For purposes of this Agreement, “Average Annual Bonus” shall mean the cash value of the average bonus amount awarded (determined without regard to any deferral election or form of payment of such bonus) to Executive under the Company’s incentive bonus and variable compensation programs as in effect on the Effective Date (or any predecessor or successor programs) for the three most recent consecutive and complete fiscal years of the Company prior to the fiscal year in which the Change of Control occurs.

Average Annual Bonus. As of any date for which the Benefit Amount must be determined pursuant to the terms of this Agreement, an amount equal to the average of the three most recent annual incentive bonuses paid in cash by the Company (or an Affiliate of the Company) to the Executive on or before the Anniversary Date next preceding such date for which the Benefit Amount is determined.
