Availability of Funding. This Agreement and all claims, suits, or obligations arising under or related to this Agreement are subject to and limited by the receipt and availability of funds which are received from the Participating Entities by NCTCOG dedicated for the purposes of this Agreement.

Availability of Funding. The County’s obligation for payment of any Agreement beyond the current fiscal year is contingent upon the availability of funding from which payment can be made. No legal liability on the part of the County shall arise for payment beyond June 30 of the calendar year unless funds are designated by the County and are made available for such performance. County shall, in its sole discretion, have the right to terminate or suspend Agreement or reduce compensation and service levels proportionately upon thirty (30) days' written notice to Contractor in the event that Federal, State or County funding for this Agreement ceases or is reduced prior to the ordinary expiration of the term of this Agreement. In the event of reduction of funding for the Agreement, County and Contractor shall meet within ten (10) days of written notice to renegotiate this Agreement based upon the modified level of funding. In this case if no agreement is reached between County and Contractor within 10 days of the first meeting, either party shall have the right to terminate this Agreement within ten (10) days written notice of termination. In the event of termination of this Agreement in accordance with the terms of this Section, Contractor shall be entitled to retain all sums paid as of the effective date of such termination, subject to any payment offset to which County may be entitled, for damages or otherwise, under the terms of this Agreement. In the event of termination of this Agreement pursuant to this Section, in no event shall Contractor be entitled to any loss of profits on the portion of this Agreement so terminated, or to other compensation, benefits, reimbursements or ancillary services other than as herein expressly provided.
Availability of Funding. The obligation of the COUNTY to proceed under this Contract is conditioned upon the appropriation of funding by the Orange County Board of County Commissioners. If the funding anticipated for the fulfillment of this Contract is, at any time, not forthcoming or insufficient, the COUNTY shall have the right to terminate this Contract without damage, penalty, cost, or expenses to the COUNTY of any kind whatsoever. The effective date of termination shall be as specified in the COUNTY’s notice of termination. The COUNTY shall have final authority over whether such funding is available.
Availability of Funding. ‌ In the event funding of the Medicaid Program from the State, Federal, or other sources is withdrawn, reduced, or limited in any way after the effective date of this Contract, OHCA may reduce or terminate the Contract upon formal correspondence to Contractor delivered through email. OHCA shall be the final authority as to the availability of funds. The effective date of such Contract reduction or termination shall be specified in the notice. In the event of a reduction, Contractor may cancel this Contract as of the effective date of the proposed reduction upon formal correspondence to OHCA delivered through email. XXXX agrees to reimburse Contractor for all work satisfactorily performed prior to the date of any notice of termination of this Contract pursuant to this section. This clause shall operate as an exception to the notice provisions otherwise applicable to amendment or termination of the Contract.

If the legislature or the County fails to appropriate funds specifically for the purpose of funding the services or demands a spending reduction in budgets due to a revenue shortfall, the Court will have no obligation to pay or perform under this agreement.

The Agency acknowledges that the County’s performance and obligation to pay under this Agreement is contingent upon an annual appropriation for County’s purpose by the Orange County Board of County Commissioners, or other specified funding source. Execution of this Agreement does not guarantee funding for Services in subsequent years of this Agreement if renewed.
Availability of Funding. It is mutually understood between the parties that the Contract covered under this Agreement depends upon the availability of government funding. If fees sufficient to pay the 9-1-1 Addressing Authority under this Agreement are not paid to NCT9-1-1, the suspension of services will be effective 10 calendar days after the 9-1-1 Addressing Authority’s receipt of notice. Upon suspension of payment, the 9-1-1 Addressing Authority’s obligations under this Agreement are also suspended until NCT9-1-1 resumes receipt of funding.
