Authorized Users and Uses. Unless otherwise limited on an Exhibit A, Vendor grants County a renewable, irrevocable (unless as provided for herein), nonexclusive, royalty- free, and worldwide right for any County employee, contractor, or agent, or any other individual or entity authorized by County, (each, an "Authorized User") to access and use the Services. Other than those limitations expressly described in an Exhibit A, Vendor shall place no other limitations in the access or use of the Services by Authorized Users.

Authorized Users and Uses. In addition to sale of digital file, licensor grants Library and/or Authorized Users a non-transferable and non-exclusive right to reproduce, distribute, and access purchased content via a secure network, and make the same available to Authorized Users for the purposes of research, study, distance learning, teaching and other educational uses. Library and/or Authorized Users may download, save and browse contents included in the purchased materials. Authorized Users are defined to include current students, faculty, and staff of the Licensee, as well as walk-in users and authorized research affiliates. Content or part of content can be printed for research, private use, or educational activities, and can be included / used in electronic form in assignments, and course reserve packets. Library and/or authorized users may share content or part of content electronically or in hard copy, for purposes of research, educational and scholarly use, with appropriate credit, but not for commercial use. Library and/or Authorized User will make reasonable efforts to protect purchased content from any use that is not permitted under this agreement.

  • Authorized Uses The Participating Institutions and the Authorized Users may make all use of the Licensed Materials as is consistent with the applicable law and with this Agreement, including but not limited to the following licensing conditions ("Authorized Uses"). In addition, the Licensed Materials may be used for purposes of research, education or other non-commercial use as particularly follows:

  • Authorized User You may request us to issue a Card to an individual who has no financial responsibility under this Agreement. An Authorized User has the same access to your Account as you do, subject to any limitations we may impose. An Authorized User has no authority to add or delete Cardholders, request a replacement Card or terminate or modify this Agreement. You may terminate an Authorized User’s authority to access your Account at any time. To do this, you must return the Card to PenFed. You agree that you are responsible for all charges and cash advances made by an Authorized User, including charges made before the Card is returned, recurring charges, or charges made without the use of the Card initiated by the Authorized User after termination of the Authorized User’s access.

  • Authorized Use The Student Data shared pursuant to the Service Agreement, including persistent unique identifiers, shall be used for no purpose other than the Services outlined in Exhibit A or stated in the Service Agreement and/or otherwise authorized under the statutes referred to herein this DPA.

  • Commissioner or Authorized User Contractor further warrants, covenants and represents that any confidential information obtained by Contractor, its agents, Subcontractors, officers, distributors, resellers or employees in the course of performing its obligations, including without limitation, security procedures, business operations information, or commercial proprietary information in the possession of the State or any Authorized User hereunder or received from another third party, will not be divulged to any third parties. Contractor shall not be required to keep confidential any such material that is publicly available through no fault of Contractor, independently developed by Contractor without reliance on confidential information of the Authorized User, or otherwise obtained under the Freedom of Information Act or other applicable New York State laws and regulations. This warranty shall survive termination of this Contract. Contractor further agrees to take appropriate steps as to its agents, Subcontractors, officers, distributors, resellers or employees regarding the obligations arising under this clause to insure such confidentiality.

  • Unauthorized Use Licensee, the Participating Institutions, or Authorized Users shall not knowingly permit anyone other than Authorized Users to access the Licensed Materials.

  • Approved User A user approved by the relevant Data Access Committee(s) to access one or more datasets for a specified period of time and only for the purposes outlined in the Principal Investigator (PI)’s approved Research Use Statement. The Information Technology (IT) Director indicated on the Data Access Request, as well as any staff members and trainees under the direct supervision of the PI are also Approved Users and must abide by the terms laid out in the Data Use Certification Agreement.

  • Customers and Vendors In furtherance of and not in limitation of Section 6, Executive acknowledges that the lists of the Company’s and its Affiliates’ customers and vendors as they may exist from time to time constitute a valuable and unique asset of the Company, and Executive shall not, during or after the term of Executive’s employment, disclose such lists or any part thereof to any person or entity for any reason whatsoever, nor shall Executive use such customer or vendor lists for Executive’s own benefit or purposes or for the benefit or purposes of any business with whom Executive may become associated.
