Authorized Resellers. If You purchase the Software through a Reseller, You acknowledge that the Reseller and Xxxxxx are independent of each other and that the Reseller does not have any authority to bind Xxxxxx in any way, make any modifications to this Agreement or to make any warranties or representations on Xxxxxx’s behalf and that Xxxxxx has no liability whatsoever for any actions or omissions of any Reseller.
Authorized Resellers a. Contractor may use State-approved Authorized Resellers under this Participating Addendum for sales and service functions as defined herein.
Authorized Resellers. To the extent Customer purchases Products from an Authorized Reseller, terms of Delivery are as determined between Customer and the Authorized Reseller. Otherwise terms of delivery are as set forth below.

Customer’s service agreements must be at least as protective of and must not limit or otherwise detract from Quantum’s rights, especially with respect to Intellectual Rights and the authorized use of Services. If Customer does so, Customer will be solely responsible for those additional terms, and Quantum will have no liability to Customer or an Authorized Users for those additional terms.

Authorized Resellers. The Contractor may be an authorized reseller, as defined by the Original Equipment Manufacturer (OEM), of new equipment from OEMs quoted under these BPAs. Authorized Resellers must possess a valid Letter of Supply (LOS) for each of the OEMs products that they are quoting. The ordering agencies RFQ orders may restrict the use of specific OEMs or identify required OEMs. The BPA Holder shall ensure all products are genuine and eligible for any OEM warranties, maintenance agreements and licensing as quoted. A product is genuine if it is not counterfeited, imitated, tampered or adulterated and is not gray market, remanufactured, or refurbished.
Authorized Resellers. 3.3.1 Subject to the terms and conditions of this Agreement, Transcosmos may appoint Authorized Resellers to market and Sell the Product under this Agreement; provided that (i) the third party meets NetSuite’s and NetSuite KK’s then current requirements and policies to qualify as an Authorized Reseller; and (ii) Transcosmos has entered into a written agreement with each such third party that is at least as protective of NetSuite KK (and its service providers, including NetSuite) and the Product as the terms of this Agreement, including any disclaimers and limitations of warranties and liability, rights of NetSuite and NetSuite KK to enforce Product Use Terms, and limitations on scope of marketing and sales activities with respect to the Product. Transcosmos shall be responsible for the actions of all Authorized Resellers, and such conduct shall be governed by the terms of this Agreement, as if performed by Transcosmos. For clarity, in any circumstance where Transcosmos Sells Product through an Authorized Reseller, both Transcosmos and the Authorized Reseller shall be responsible for performing the obligations of Transcosmos under this Agreement related to such Sales (including support obligations), and Transcosmos shall be responsible under this Agreement for any failure of the Authorized Reseller to do so.
