Authorized Capital of the Corporation. The authorized capital of the Corporation consists of an unlimited number of Common Shares, of which at the date hereof and at the Time of Closing, nine (9) Common Shares are and will be duly issued and outstanding as fully paid and non-assessable. The Purchased Shares shall at Closing constitute all of the issued and outstanding shares of the capital of the Corporation.
