The person signing on the Cover Page on behalf of Member hereby represents, warrants and covenants that Member has full authority to enter into and fulfill all of the terms and conditions hereof and when signed, this Agreement shall be a binding obligation of Member, enforceable in accordance with its terms. The Member further represents, warrant and covenants that (i) Member is seeking to join Company as a Member on its own volition; (ii) Member is not a party to any agreement which would prevent Member from entering into this Agreement and fully performing all of its obligations created hereunder;
